Abstract

Purpose

This paper aims to share the essence of an interview with Rodrigo Varela Villegas, conducted by Santiago Ibarreche. It highlights his passion for academia, his commitment to developing responsible entrepreneurs and commitment to forging and disseminating the entrepreneurial spirit in Colombia, Iberoamerica and the world.

Design/methodology/approach

This paper is an interview.

Findings

The interview explores Rodrigo’s career, his achievements and continued search for excellence in terms of teaching, research and service in academia. Of relevance are his contributions to the discipline of entrepreneurship through the development and divulging of the concept of entrepreneurial spirit.

Originality/value

The interview in this special section, A Life in Research, brings out an individual scholar’s experience and history, not only as recognition of scholarly impact but also as recognition of the person.

Este artículo comparte la esencia de una entrevista con Rodrigo Varela Villegas, dirigida por Santiago Ibarreche. Abstract

Purpose

The purpose of this paper is to examine the effect of investor sentiment on share returns, exploring whether this effect is different for public family and non-family firms.

Design/methodology/approach

The author uses the European Economic Sentiment Indicator data, from Directorate General for Economic and Financial Affairs as a proxy for investor sentiment and focused on the share returns of family and non-family firms, using panel data methodology.

Findings

Using data from listed family and non-family firms for the period between 1999 and 2011, in accordance with behavioural finance theory, the results indicate that there is a negative relationship between sentiment and share returns. In addition, the author found no difference between family and non-family firms in what concerns the effect of sentiment on share returns. The evidence also suggests that young, large and medium growth firms are most affected by sentiment. Finally, the results suggest that the evidence concerning the relationship between sentiment and returns is sensitive to the proxy used to measure the sentiment.

Research limitations/implications

A limitation of this study is the small size of the sample, which is due to the small size of the Portuguese stock market, the Euronext Lisbon.

Originality/value

This paper offers some insights into the effect of investor sentiment on the share returns in the context of public family firms, a strand of finance that is scarcely developed. It also contributes to the analysis of a small European country, with a high concentration of equity ownership.

El propósito de este trabajo es examinar el efecto de la confianza de los inversores en las acciones devoluciones, explorando si este efecto es diferente para las empresas familiares públicas y no familiares.

Diseño/metodología/enfoque

Utilizamos los datos de los indicadores de sentimiento económico de Europa, de la Dirección General de Asuntos Económicos y Financieros (DG ECFIN) como sustituto de la confianza de los inversores y se centran en la cuota de los retornos de las empresas familiares y no familiares, utilizando datos de panel metodología.

Conclusiones

El uso de los datos de las empresas que figuran familiares y no familiares para el período entre 1999 y 2011, los resultados indican que no existe una relación entre el sentimiento y la cuota de retorno, que está de acuerdo con la teoría financiera estándar, que predice que los precios de las acciones reflejan el descuento valor de los flujos de caja esperados y que la irracionalidad de los inversores se eliminan por árbitros. Además, no encontramos ninguna diferencia entre las empresas familiares y no familiares en lo que se refiere al efecto de la confianza en las acciones devoluciones. Por último, la evidencia sugiere que las grandes empresas y las empresas que pagan dividendos son los más afectados por el sentimiento.

Limitaciones investigación/implicaciones

Una limitación de este estudio es el pequeño tamaño de la muestra, que se deriva del pequeño tamaño del mercado de valores portugués, la Euronext Lisbon.

Originalidad/valor

Este artículo ofrece algunas ideas sobre el efecto de la confianza de los inversores en la cuota de rentabilidad en el contexto de las empresas familiares públicos, un mechón de financiación que apenas se desarrolla, y contribuye al análisis de un pequeño país europeo, con alta concentración de participación en el capital.

Abstract

Purpose

The purpose of this study is to underscore the impact of the family variable on performance. The authors were interested in understanding whether the differences between Family Firms (FFs) and Non-Family Firms (NFFs), on the one hand, and between large FFs and medium-sized FFs, on the other, were reflected in the performance achieved.

Design/methodology/approach

In this paper a sample of 80 industrial companies listed on the Italian Stock Market (FTSE MIB and STAR indexes) were considered, and mixed criteria to distinguish FFs and NFFs (Smyrnios-Romano et al., 1998) were used. The empirical method allowed the development of some research hypotheses by exploiting the Pearson correlation.

Findings

There are two main categories of FFs, which correspond to two different strategic and organizational categories, namely, the FFs listed on the large capitalized companies index (FTSE MIB) and the FFs listed on the medium-capitalized companies index (STAR). Each kind of FFs (large FFs and medium-sized FFs) has a specific effect on profitability and financial performance. Specifically, if a company is medium sized, family presence is a relevant variable in achieving better profitability and financial performance than NFFs of the same size; on the other hand, if the company expands to become a large one, the family presence is an irrelevant variable in terms of both profitability and financial leverage (debt ratio).

Research limitations/implications

Limitations of the study concern the definition of the sample, as this paper focused on the industrial sector and the method adopted, as it could be integrated with some econometrical models. The implications of this paper are relevant for families and regulatory bodies because it helps them better understand the effects of governance and company size both on short- and long-term performance. Moreover, the findings of the study can influence the decision-making process of investors to identify the long-term outperformers listed on the Italian Stock Exchange.

Originality/value

This study contributes to the literature on FFs by defining two different categories of FFs, namely, large and medium-sized. It seems that larger companies record a weaker family influence on short-term profitability.

Abstract

Purpose

The purpose of this paper is to introduce an earnings management dimension to compute pre-manipulated accounting performance (free of discretionary accruals) to determine whether family-controlled firms perform better than non-family-controlled firms.

Design/methodology/approach

The authors used Jones’ model (1991) to obtain a pre-manipulated performance measure for a sample of Chilean firms. The authors then regressed the pre-manipulated measures of accounting performance as dependent variables against the family nature of the largest shareholder using the Blundell and Bond generalized method of moments estimator.

Findings

The authors found that the pre-manipulated performance of family-controlled firms is superior to that of non-family-controlled firms. The authors also show that the presence of institutional investors in the firm’s ownership structure has a positive influence on the performance of family companies. The results suggest that earnings management behavior is not sufficient to explain the better performance of family-controlled firms that has been reported in the literature.

Originality/value

The authors provide new evidence regarding the real superior performance of family business. These results provide some degree of confidence to investors since family firms provide good quality earnings measures of financial performance.

este estudio pretende determinar si las diferencias en performance entre empresas familiares y no familiares puede ser explicada por la existencia de manipulación contable de los retornos.

Diseño/metodología/enfoque

usamos el método de Jones (1991) para obtener una medida de retorno contable no manipulado para una muestra de empresas chilenas, y luego estimamos una regresión de tipo panel donde la medida de retorno sin manipular es la variable dependiente, la naturaleza familiar o no de la empresa es la variable independiente y una serie de variables de control. Debido a la posible endogeneidad entre retorno y tipo de empresa, usamos la técnica de Blundell y Bond (Método Generalizado de los Momentos).

Findings

encontramos que aun usando retornos libre de manipulación contable, las empresas familiares muestran un mejor desempeño que aquellas no familiares. Además, se observa que la presencia de inversionistas institucionales (AFPs) en la estructura de control de la firma, tiene un efecto positivo sobre el desempeño de las empresas familiares.

Originality/value

se presenta nueva evidencia que ratifica el mejor desempeño financiero de las empresas familiares. Además, mostramos, a diferencia de estudio previos, que la presencia de inversionistas institucionales explica parte del mejor desempeño financiero de dichas empresas. Lo anterior permite a inversionistas estar seguros que el mejor retorno de empresas familiares no se debe a la manipulación contable de las utilidades.

Abstract

Purpose

The purpose of this paper is to analyze the relationship between the ownership structure and the investment in research and development (R&D) for a sample of listed Spanish companies.

Design/methodology/approach

Following the agency theory and the socioemotional wealth (SEW) perspective, the authors propose that R&D investment is affected by ownership structure, specifically by the identity of the controlling owner (family firms and firms with an institutional investor) and the level of contestability by other shareholders. In order to test these hypotheses, the authors build an original database identifying, at a 10% threshold, the ultimate shareholders of a sample of 96 Spanish firms listed during 2008–2018 (1,002 obs).

Findings

The results show that there is no significant relationship between the ownership concentration and the R&D investment. Only when the authors consider the nature of the main shareholder, the authors find that in family firms there is an inverted U relationship between ownership and R&D, so that at low levels of ownership, the R&D increases, while at high levels of ownership (that we compute around 54%) the R&D decreases. Also, when the main shareholder is an institutional investor, the greater its ownership, the higher the R&D investment. Finally, the authors test that, contrary to what mainstream suggests, contestability in family firms is higher when ownership in the hands of other family shareholders increases.

Originality/value

The work uses an original database to test a nonlinear relationship between ownership and R&D investment in family firms. Also, the study addresses a topic hardly ever discussed in the literature about R&D as it is the role of the contestability by other controlling shareholders.

Objetivo

El objetivo del presente trabajo es analizar la relación existente entre la estructura de propiedad y la innovación corporativa para una muestra de empresas cotizadas españolas.

Diseño/metodología/enfoque

Utilizando los planteamientos de la teoría de la agencia y de la perspectiva de la riqueza socioemocional proponemos que la I+D empresarial está relacionada con la estructura de propiedad, específicamente con la naturaleza del accionista de control (empresas familiares y empresas con un inversor institucional como principal accionista) y con el grado de contestabilidad por parte de otros accionistas significativos. A fin de testar nuestras hipótesis, construimos ad hoc una base de datos de propiedad original en la que identificamos, al umbral del 10% de propiedad, a los accionistas últimos de una muestra de 96 empresas cotizadas españolas para el periodo 2008–2018 (1.002 obs).

Resultados

Nuestros resultados muestran que no existe relación significativa entre la concentración de propiedad y la inversión en I + D. Solo cuando consideramos la naturaleza del principal accionista encontramos que en las empresas familiares la relación entre la propiedad de la familia y la innovación corporativa adopta una forma de U invertida, tal que a bajos niveles de propiedad la I + D crece, mientras que a altos niveles de propiedad (que computamos en torno al 54% de propiedad) la inversión en I + D decrece. Asimismo, en las empresas con un inversor institucional como principal accionista, cuanto mayor es la propiedad de este inversor institucional, mayor es la I + D de la empresa. Finalmente testamos que, en contra de la corriente dominante, en las empresas familiares la propiedad en manos de otras familias incrementa el grado de contestabilidad a la familia controladora respecto a su inversión en I + D.

Originalidad

El trabajo utiliza una base de datos de propiedad original para testar una relación no lineal entre concentración de propiedad e innovación corporativa en las empresas familiares. Asimismo, el estudio aborda un tema apenas analizado en la literatura de I + D como es el papel de la contestabilidad al accionista de control.

Ha logrado un rápido crecimiento y se ha diversificado con otras marcas, bien sea comprándolas o desarrollándolas. Los ejemplos son Tía Lola® (tortas económicas) y Dolce Natura® (helados artesanales). La fundadora de la compañía no solo ha mantenido el crecimiento y desarrollo de su marca, sino también sus valores y cultura organizacional, los cuales ha transmitido a sus 400 empleados. La compañía se encuentra actualmente en expansión.

Abstract

Purpose

The purpose of this paper is to summarize what is known about corporate governance in family firms from Ibero-American countries based on published research.

Methodology

The authors conducted a literature search to identify the articles that have been published about the corporate governance of family firms in Latin America, Spain, and Portugal between 1980 and 2014. The authors found 38 articles that provide the sample for this review.

Findings

The results indicate that research on governance in Ibero-American family firms has focussed on understanding structures and processes related to the business and ownership systems. However, generalization of results across the region is difficult because of the lack of systematic approach of studies and the focus on a small number of countries.

Research limitations/implications

There are at least two limitations of this work: the small sample of projects identified for the review and the lack of systematic approach to research. Both of these may be due to the importance given to publishing the university context in this part of the world. As the culture of knowledge changes, the authors expect that research in this area will grow.

Originality/value

Although previous research indicates that cultural characteristics affect governance system choices and understanding of family firms, not many studies explore the importance of culture in governance choices of family firms. This paper provides a baseline of the understanding of governance in Ibero-American family firms, and identifies important area for future research.

Propósito

La meta de este proyecto era resumir lo que sabemos acerca del gobierno corporativo en empresas familiares en países iberoamericanos.

Metodología

Se realizó una búsqueda en la literatura para identificar artículos que se hubiesen publicado en el área de gobierno corporativo sobre empresas familiares en Latinoamérica, Portugal y España entre 1980 y el 2014. Se encontraron 38 artículos que representan la muestra en este resumen de la literatura.

Conclusiones

Los resultados de esta investigación sugieren que la investigación sobre gobierno corporativo en empresas familiares iberoamericanas se ha centrado en entender las estructuras y los procesos relacionados a los sistemas de la empresa y la propiedad. Sin embargo, la generalización de estos resultados a través de toda la región es difícil porque falta de investigaciones sistemáticas sobre temas similares y por la concentración de estudios en países específicos.

Limitaciones

Este trabajo tiene por lo menos dos limitaciones: el tamaño de la muestra y la falta de estudios sistemáticos en investigaciones de esta área. Estas dos limitaciones pueden están relacionadas con la importancia que se le da a la publicación de investigaciones en esta región del mundo. A medida que la cultura del conocimiento en esta región cambie, se notara la proliferación de más estudios en el área de gobierno corporativo en empresas familiares iberoamericanas.

Originalidad y Valor

A pesar que investigaciones previas indican que las características culturales afectan las decisiones sobre sistemas de gobierno corporativo y como entendemos las empresas familiares, no hay mucha investigación acerca de la importancia de la cultura en las decisiones de gobierno en empresas familiares. Este trabajo representa una base para entender el gobierno corporativo en empresas familiares iberoamericanas y para identificar áreas de énfasis en investigaciones futuras.

Abstract

Six research papers are published on this issue: three on finances, two regarding public administration and one on business economy. They come from six countries and ten universities. The first paper analyses the effect of a new platform for transactions in the Colombian stock exchange. The second studies the factors that influence the capital structure of the non‐financial companies that quote in the stock market of Lima. The third studies a sample of Brazilian coffee growers in order to determine the influence of attitudes and behaviours in their price risk management decisions. The fourth studies the relation between financial stress, decentralisation and outsourcing of public local services in Spain, by particularly taking into account the length of the financial stress, the effectiveness of the measures taken to attenuate it and the lapse between the crisis and an answer based on the portion of privatisation and decentralisation of the public services. The fifth explores the Chilean small and medium businesses determinants that from their beginnings are orientated towards the global international market. Lastly, the concepts of marketing services and higher education are used to analyse the evaluations of professors given by Mexican university students. The journal is shifting towards a new electronic platform. It will begin to be trimestral in the year 2015 and will continue to broaden its net of Associate Editors.

Resumen

En este número publicamos seis artículos de investigación: tres en finanzas, dos en administración pública, y uno en economía de negocios, provenientes de seis países y diez universidades. El primer artículo analiza el efecto de una nueva plataforma para las transacciones en la bolsa de valores de Colombia. El segundo, estudia los factores que influyen en la estructura de capital de las empresas no financieras que cotizan en el mercado de valores de Lima. El tercero, estudia una muestra de cultivadores de café brasileños para determinar la influencia de las actitudes y comportamientos en sus decisiones de gestión del riesgo del precio. El cuarto, estudia la relación entre estrés financiero, descentralización y contratación externa de servicios públicos locales en España, particularmente al enfocarse en la consideración de la duración del estrés financiero, la efectividad de las medidas tomadas para atenuarlo, y el lapso entre la crisis y una respuesta basada en la opción de privatización y descentralización de servicios públicos. El quinto explora los determinantes de que las pequeñas y medianas empresas chilenas desde el principio estén orientadas al mercado global internacional. Finalmente, se utilizan conceptos del mercadeo de servicios y la educación superior para el análisis de las evaluaciones de los profesores por parte de los estudiantes universitarios mexicanos. La revista está migrando a una nueva plataforma electrónica, pasará a ser trimestral en el año 2015 y se continúa ampliando la red de Editores Asociados.

This, in fact, is beneficial for investors so they know that a company who applies the principles of corporate governance (CG) presents best management practices and transparent information, safeguarding the interests of all its stakeholders, which helps their investment decision; reducing market uncertainty, making it more efficient and liquid. The research focuses on the companies listed in the Stock Exchange of Lima that had implemented CG strategies in their organizations.
