Abstract

Purpose

The purpose of this paper is to summarize what is known about corporate governance in family firms from Ibero-American countries based on published research.

Methodology

The authors conducted a literature search to identify the articles that have been published about the corporate governance of family firms in Latin America, Spain, and Portugal between 1980 and 2014. The authors found 38 articles that provide the sample for this review.

Findings

The results indicate that research on governance in Ibero-American family firms has focussed on understanding structures and processes related to the business and ownership systems. However, generalization of results across the region is difficult because of the lack of systematic approach of studies and the focus on a small number of countries.

Research limitations/implications

There are at least two limitations of this work: the small sample of projects identified for the review and the lack of systematic approach to research. Both of these may be due to the importance given to publishing the university context in this part of the world. As the culture of knowledge changes, the authors expect that research in this area will grow.

Originality/value

Although previous research indicates that cultural characteristics affect governance system choices and understanding of family firms, not many studies explore the importance of culture in governance choices of family firms. This paper provides a baseline of the understanding of governance in Ibero-American family firms, and identifies important area for future research.

La meta de este proyecto era resumir lo que sabemos acerca del gobierno corporativo en empresas familiares en países iberoamericanos.

Metodología

Se realizó una búsqueda en la literatura para identificar artículos que se hubiesen publicado en el área de gobierno corporativo sobre empresas familiares en Latinoamérica, Portugal y España entre 1980 y el 2014. Se encontraron 38 artículos que representan la muestra en este resumen de la literatura.

Conclusiones

Los resultados de esta investigación sugieren que la investigación sobre gobierno corporativo en empresas familiares iberoamericanas se ha centrado en entender las estructuras y los procesos relacionados a los sistemas de la empresa y la propiedad. Sin embargo, la generalización de estos resultados a través de toda la región es difícil porque falta de investigaciones sistemáticas sobre temas similares y por la concentración de estudios en países específicos.

Limitaciones

Este trabajo tiene por lo menos dos limitaciones: el tamaño de la muestra y la falta de estudios sistemáticos en investigaciones de esta área. Estas dos limitaciones pueden están relacionadas con la importancia que se le da a la publicación de investigaciones en esta región del mundo. A medida que la cultura del conocimiento en esta región cambie, se notara la proliferación de más estudios en el área de gobierno corporativo en empresas familiares iberoamericanas.

Originalidad y Valor

A pesar que investigaciones previas indican que las características culturales afectan las decisiones sobre sistemas de gobierno corporativo y como entendemos las empresas familiares, no hay mucha investigación acerca de la importancia de la cultura en las decisiones de gobierno en empresas familiares. Este trabajo representa una base para entender el gobierno corporativo en empresas familiares iberoamericanas y para identificar áreas de énfasis en investigaciones futuras.

Abstract

Purpose

Based on the findings of Aguinis et al. (2018) that only a few executives are properly compensated, the purpose of this paper is to examine potential causes and consequences of CEO overpayment and underpayment. Ineffective compensation of the CEO represents a governance failure by the board of directors. Better understanding the reasons for such failures may help boards to correct their processes and to enact more effective governance. Boards must look beyond the normally constrained focus of agency theory to examine executive characteristics and motivation. Thus, tailoring compensation plans and governance to the executive and organizational context requires attention to a broader set of theoretical notions.

Design/methodology/approach

Using the Aguinis et al. (2018) work, this paper conceptually identifies and explains the causes and consequences of CEO overpayment and underpayment along with their implications for governance and future research.

Findings

This paper identifies potential reasons for CEO overpayment and underpayment. For example, in addition to poor hiring decisions and inadequately designed compensation plans, CEO overpayment can occur because of executive hubris and greed. Alternatively, CEO underpayment may occur because of a poorly designed plan, inadequate information about the external labor market and the executive’s interests in non-pecuniary benefits (e.g. socio-emotional wealth, altruism). Without proper monitoring and oversight by the board, firm performance commonly suffers.

Originality/value

This work extends our understanding of why CEOs may be overpaid (e.g. hubris, greed) and why some executives may accept underpayment (e.g. desire for non-pecuniary benefits from SEW or altruism). This paper explains the consequences of ineffective corporate governance practices that allow inefficient CEO compensation. Finally, this paper explores several contingencies that can affect the governance practices and research needed to enhance our knowledge of this important area.

Objetivo

Partiendo de los resultados de Aguinis et al (en prensa) de que solo unos pocos ejecutivos están retribuidos correctamente, examinamos las causas y las consecuencias potenciales del pago excesivo y pago insuficiente a los CEO. Una retribución inadecuada al CEO es un fallo de gobierno por parte del consejo de administración. Comprender mejor las razones de dichos fallos puede ayudar a los consejos a corregir sus propios procesos y desarrollar un gobierno corporativo más eficiente. Los consejos de administración deben mirar más allá de la teoría de agencia para examinar las características de los ejecutivos y su motivación. Por tanto, ajustar los planes de retribución y gobierno a los ejecutivos y al contexto organizativo requiere prestar atención a un conjunto más amplio de conceptos teóricos.

Diseño/metodología/aproximación

Utilizando el trabajo de Aguinis et al (en prensa), identificamos y explicamos las causas y consecuencia del pago excesivo y pago insuficiente a los CEO, junto con las implicaciones para el gobierno corporativo y la investigación futura.

Resultados

Identificamos las posibles razones para el pago excesivo o insuficiente a los CEO. Por ejemplo, además de malas decisiones de contratación y planes de retribución mal diseñados, el pago excesivo puede deberse a la arrogancia y codicia de los ejecutivos. Alternativamente, el pago insuficiente puede generarse por un plan de retribución mal diseñado, por inadecuada información sobre el mercado laboral externo y el interés del ejecutivo en beneficios no pecuniarios (e.g., riqueza socio-emocional, altruismo). Sin una supervisión adecuada, los resultados de la empresa normalmente sufren.

Este trabajo amplia nuestra comprensión sobre porque los CEOs pueden recibir una retribución excesiva (e.g., arrogancia, codicia) mientras otros pueden aceptar un pago insuficiente (e.g., deseo de beneficios no pecuniarios o altruismo). Explicamos las consecuencias de un gobierno corporativo inadecuado que permiten una retribución ineficiente del CEO. Finalmente, exploramos varias contingencias que pueden afectar a las prácticas de gobierno y que la investigación deben considerar para mejorar nuestro conocimiento en esta importante área.

Objetivo

A partir dos resultados de Aguinis et al. (em imprensa) que apenas alguns executivos são pagos corretamente, examinamos as causas e as consequências potenciais do pagamento excessivo e do pagamento insuficiente ao CEO. Uma compensação inadequada ao CEO é uma decisão governamental do conselho de administração. Uma melhor compreensão das razões para tais falhas pode ajudar os conselhos a corrigir seus próprios processos e desenvolver uma governança corporativa mais eficiente. Os conselhos de administração devem olhar além da teoria da Agência para examinar as características dos executivos e sua motivação. Por conseguinte, ajustar a remuneração e os planos governamentais aos executivos e ao contexto organizacional requer atenção a um conjunto mais amplo de conceitos teóricos.

Usando o trabalho de Aguinis et al. (em imprensa), identificamos e explicamos as causas e consequências do pagamento excessivo e do pagamento insuficiente ao CEO, junto com as implicações para a governança corporativa e a pesquisa futura.

Identificamos as possíveis razões para pagamento excessivo ou insuficiente ao CEO. Por exemplo, além das pobres decisões de contratação e dos planos de compensação mal projetados, o excesso de pagamento pode ser devido à arrogância e ganância dos executivos. Alternativamente, o pagamento insuficiente pode ser gerado por um plano de compensação mal concebido, por informações inadequadas sobre o mercado de trabalho externo e o interesse do executivo em benefícios não-pecuniários (por exemplo, riqueza sócio emocional, altruísmo). Sem supervisão adequada, os resultados da empresa geralmente sofrem.

Abstract

This chapter analyzes the concept of the Center of Government (CoG) and its relevance for the public administration agenda in Latin America. It identifies five key functions of the CoG: strategic management, policy coordination, performance monitoring and improvement, political management, and communications and accountability, and it assesses the region's performance for each of them, citing concrete experiences. The CoG is still an emerging topic for scholars and practitioners in Latin America. Despite the fact that CoGs in Latin America formally recognize most if not all of its five key functions, the region shows a relatively weak performance in practice. Nonetheless, recent innovative experiences show an increased interest in governments to strengthen the CoG and suggest paths that may lead to improved performance.

The CoG may be a relatively new topic in public administration research, but it is not a new phenomenon. It refers to functions that have been performed, and to structures that have existed, for several decades in many countries, including Latin American ones. However, a number of factors have led to an increased relevance of CoG institutions in recent years. The first section of this chapter will attempt to define the concept of “Center of Government”; to enumerate the CoG's main political and technical functions; to describe the typical structures that perform these functions; and to indicate why these institutions play a critical role in current times. Then, Section 2 will discuss how CoG institutions in Latin American countries have been performing their core functions, identifying regional trends and country-level configurations. The political economy of CoG strengthening will also be covered. Section 3 concludes.

Abstract

This case study examines the Argentinian privatization process that occurred in the early 1990s and which marked the start of the third phase of the history of public services in the country. The research focusses on the role played by a group of private companies in the privatization of the Buenos Aires Subway, an icon of the modernization of mass passenger transportation. It explores the background to the process, the alternative selling options available to the government and concerning the degree of public control that would be retained. It examines the effects of privatization on the economy of the country, on government debt and on the workers who lost their jobs as a result of the sale. The paper ends by describing the measures were taken during the transition from a bureaucratic management model to an entrepreneurial one.

Resumen

El caso examina el proceso de privatización en la Argentina a comienzos de los años 90..s cuando inició la tercera fase en la historia de los servicios públicos de ese país. Se centra en la exploración del proceso de transición hacia un conjunto de empresas privadas del Subterráneo de Buenos Aires, icono de modernización del transporte masivo de pasajeros Explora los antecedentes, las alternativas de venta por parte del gobierno, así como las relacionadas con el grado de control en manos de este último. Explora los efectos sobre la economía del país, la deuda del gobierno y el impacto sobre los trabajadores que no serían contratados luego de la privatización. Termina describiendo los cuidados adoptados en la transición desde una gestión de índole burocrática a otra de carácter empresarial.

This study aims to investigate the impact of local government market orientation as perceived by Millennials on their intention to support tourism development.

Abstract

Purpose

This study aims to investigate the impact of local government market orientation as perceived by Millennials on their intention to support tourism development.

Design/methodology/approach

An online survey administered to a sample of 418 Millennials was designed for descriptive and causal data analyses.

Findings

The results show that Millennials’ intention to support tourism is high and depends on perceived market orientation. In the proposed model, market orientation by local government directly predicts perceived benefits and attitudes, and indirectly, the intention to support. Economic benefits are not the only relevant benefits to Millennials.

Research limitations/implications

The main limitation of this work is related to the selection and combination of the internal and external variables included in the proposed model, given the great diversity of variables in the literature in this field.

Practical implications

This study allows us to predict and encourage Millennials’ intention to support tourism development through very few variables. This study is of theoretical and practical interest to local government, tourism firms, educators and researchers. These entities can, thus, encourage the support process collaboratively among Millennials.

Originality/value

This predictive study of Millennials’ intention to support includes variables that have not been previously studied together. Through market orientation by local government, the organizational world and young consumers are connected. The generational approach adopted allows the use of global actions to encourage Millennials’ support.

Propósito

Este estudio tiene como objetivo investigar el impacto de la orientación al mercado del gobierno local, según la perciben los Millennials, en su intención de apoyar el desarrollo turístico.

Diseño/metodología/enfoque

Se diseñó una encuesta online administrada a una muestra de 418 Millennials para el análisis de datos descriptivos y causales.

Hallazgos

Los resultados muestran que la intención de los Millennials de apoyar el turismo es alta y depende de la orientación del mercado percibida. En el modelo propuesto, la orientación al mercado por parte del gobierno local predice directamente los beneficios y actitudes percibidos, e indirectamente, la intención de apoyar. Los beneficios económicos no son los únicos beneficios relevantes para los Millennials.

Limitaciones/implicaciones de la investigación

La principal limitación de este trabajo está relacionada con la selección y combinación de las variables internas y externas incluidas en el modelo propuesto, dada la gran diversidad de variables en la literatura en este campo.

Implicaciones prácticas

El estudio nos permite predecir y fomentar la intención de los Millennials de apoyar el desarrollo turístico a través de muy pocas variables. El estudio es de interés teórico y práctico para gobiernos locales, empresas turísticas, educadores e investigadores. Estas entidades pueden, así, facilitar el proceso de apoyo de forma colaborativa entre Millennials.

Originalidad/valor

Este estudio predictivo de la intención de apoyo de los Millennials incluye variables que no se han estudiado juntas previamente. A través de la orientación al mercado del gobierno local, el mundo organizacional y el joven consumidor están conectados. El enfoque generacional adoptado permite el uso de acciones globales para incentivar el apoyo de los Millennials.

Abstract

Race has played a central role in state-building in Latin America. This chapter foregrounds the role of transnational racialization politics in bureaucratic development in the region in the late nineteenth century. Analyzing the transformation of the Bolivian diplomatic bureaucracy following the War of the Pacific (1879–1884), I argue that the circulation in Europe and the Americas of racial discourses on Bolivia that cast doubt on its place among the concert of civilized nations motivated its reform and expansion. This study suggests that, given the potential costs of transnational racialization threats, states across the region developed agencies and practices that expanded their capacity to manage their racialized national images among international audiences. Against the threat of racialized imperialism and colonialism, Bolivian liberal reformers envisioned a diplomatic bureaucracy capable of negotiating Bolivia's place in the global racial imaginary abroad. This study emphasizes the central role of the diplomatic bureaucracy as a condition of possibility in these projects and directs attention to the role of race in the development of state agencies less commonly associated with race, such as diplomacy.

Abstract

The purpose of this study was to explore the innovative and proactive practices adopted by subsistence businesses under the COVID-19 health contingency. Evidence of the current situation and the contingency practices that businesses have implemented in dealing with the economic crisis caused by the COVID-19 pandemic was collected through a literature review of secondary information sources: bibliographic and hemerographic, as well as in-depth interviews with five owners of artisanal and agricultural subsistence businesses.

Faced with uncertainty, artisanal and agricultural subsistence businesses have adopted innovative and proactive survival practices. The closure of markets, the absence of tourism, the suspension of non-essential activities, the lack of mobility and transportation, and the closure of access in rural communities are some of the realities these businesses are experiencing. Subsistence businesses in marginalised areas are a long way from accessing information technologies for online sales and home deliveries, which are implemented by most businesses in urban areas. In contrast, they revert to ancestral marketing practices such as bartering and low prices to earn an income for family food. Despite the loss of over 50% of subsistence businesses in urban and semi-urban areas, online sales through social media and websites, socially responsible initiatives, along with government support programmes, have helped others stay in business.

Abstract

This chapter studies Digital (or Electronic) Government in Latin American (LatAm) countries from a comparative perspective. It analyzes a group of countries with a significant degree of economic diversity and public administration heterogeneity. This chapter presents data about the development of the Information Society in Latin America, regarding the diffusion of Information and Communication Technologies (ICTs) and the Internet in the countries of the region and taking into account the digital divide phenomenon. It also analyzes Digital Government from a regional perspective, pinpointing intergovernmental institutions and international organizations devoted to design and define, and, in some cases, implement, shared perspectives and a common agenda within this region. This overview is brought forward by a comparative approximation to the development of e-Government readiness in LatAm countries, using data from the United Nations reports. Additionally, this chapter analyzes sectional e-Government dimensions, including digital public administration national agendas, electronic public service delivery websites, interoperability initiatives, social media technologies, open data and open government strategies, and the future of technology in public sector of the region. Therefore, this chapter is important to understand the role of ICTs as one of the most recent sources of innovation and reform in public administrations Latin America.

Abstract

Purpose

The purpose of this paper is to report on the level of government web portal resource development, impediments to progress in electronic government practices, and areas that require improvement in 19 Latin American countries.

Design/methodology/approach

A comparative study was carried out between March and May of 2012, based on a method combining heuristic usability analysis with an automatic web portal accessibility test.

Findings

The results suggest that Latin American government web portals do not fully meet international accessibility guidelines and that multidirectional communication and participation mechanisms lack diversity. Only functionalities related to usability presented positive scores, but with shortcomings in terms of security.

Originality/value

Extensive literature is available on the development of electronic government policies in Latin America. This study falls within that tradition but, in addition, offers a new perspective by examining the features of web portals, which ultimately aids the calibration of the results of policy implementation. The data obtained are useful for web developers, ICT policy designers and the entire community of actors involved in developing electronic government programs.

El artículo pretende describir el nivel de desarrollo de los recursos ofertados por los portales webs gubernamentales de 19 países latinoamericanos, desvelar la presencia de elementos obstaculizadores del desarrollo de las prácticas de gobierno electrónico y subrayar áreas de mejora.

Diseño/metodología/enfoque

Se realiza un estudio comparado, llevado a cabo entre los meses de marzo y mayo de 2012, basado en el empleo de un método que combina el análisis heurístico de usabilidad y la aplicación de un procedimiento automático de examen de la accesibilidad de los portales webs.

Hallazgos

Los resultados sugieren que los portales webs gubernamentales latinoamericanos adolecen de insuficiencias relativas al cumplimiento de la normativa internacional de accesibilidad y una escasa diversidad de dispositivos de comunicación/participación multidireccionales. Solo las funcionalidades relacionadas con la usabilidad, salvo la relativa a seguridad, presentan un balance positivo.

Originalidad/valor

Existe una abundante literatura latinoamericana sobre el desarrollo de políticas de gobierno electrónico. Este trabajo se enmarca en esa tradición, pero ofrece un ángulo nuevo al centrarse en el examen de las prestaciones que ofrecen los portales webs, lo que puede contribuir ulteriormente a calibrar los resultados de la implementación de tales políticas. Los datos obtenidos resultan de utilidad para desarrolladores web, diseñadores de políticas de difusión de TIC y, en general, la comunidad de actores relacionados con el desarrollo de programas de gobierno electrónico.

Abstract

Economic and social inequality in Mexico presents a challenge in the transformative recovery of the country. This chapter aims to identify opportunities and multi-actor actions in the different scenarios of economic growth and sustainable development for Mexico in the coming years. We managed to propose public policy recommendations for the country by building future scenarios along with the participation of representatives from government, business, civil society and academia. A regenerative Mexico by 2030 requires policies that encourage private, domestic and foreign investment; regulatory frameworks for investment in clean technologies; implementation of tax incentives to promote a green economy and cooperative and inclusive models, such as the social and solidarity economy. Inclusive and collaborative multi-actor actions among the country's sectors become the common denominator of future scenarios for Mexico from an optimistic, resilient and hopeful perspective for its population.
