Abstract

The case can be taught in an introductory corporate finance course or to more experienced students or executives to spur a discussion about share repurchases and corporate financial strategies in general. If used in an introductory course, the case is most effective if preceded by a traditional dividend class. It follows a portfolio manager of Johnson & Associates, Mark Johnson, who is reviewing his holdings, including his position in AutoZone in early 2012. A prominent shareholder, Edward Lampert, had begun liquidating his position in AutoZone, and Johnson is concerned that Lampert's reduced position could lead the company to stop using share repurchases as a method of distributing cash flows to shareholders. The case lists a number of alternative uses for the cash flows and asks students to assume Johnson's role as an analyst and assess the likely impact of those alternatives on AutoZone's stock price.

Abstract

During December 2012, Jorge Paulo Lemann, a co-founder and partner at 3G, proposed to Warren Buffett that 3G and Berkshire Hathaway acquire H. J. Heinz Company. Lemann and Buffett, who had known each other for years, jointly decided that the Heinz turnaround had been successful and that there was significant potential for continued global growth. 3G informed Heinz CEO William Johnson that it and Berkshire Hathaway were interested in jointly acquiring his company. Johnson then presented the investors' offer of $70.00 per share of outstanding common stock to the Heinz board.

After much discussion, the Heinz board and its advisors informed 3G that without better financial terms they would not continue to discuss the possibility of an acquisition. Two days later, 3G and Berkshire Hathaway returned with a revised proposal of $72.50 per share, for a total transaction value of $28 billion (including Heinz's outstanding debt).

Following a forty-day “go-shop” period, Heinz, 3G, and Berkshire Hathaway agreed to sign the deal. But was this, in fact, a fair deal? And what might be the future consequences for shareholders, management, employees, and citizens of Pittsburgh, the location of the company's headquarters? Last, what was the role of activist investors in bringing Heinz to this deal stage?

Learning outcomes

Upon completion of the analysis of the case, the students will be able to distinguish between a family business and a non-family business, evaluate the professionalization strategies used by Jeff Hamilton and categorize the type of family business that Jeff Hamilton is so far using the model of professionalization developed by Dekker et al. (2013). The model classifies family firms into four types according to their level of professionalization: autocracy, domestic configuration, administrative hybrid and a clench hybrid.

Case overview/synopsis

The case highlights how Jeff Hamilton, a family business that began in Kenya and has grown regionally in East Africa, has professionalized its operations and, by so doing, facilitated its growth. The family business is run by Major Boke and his wife Lucy Boke and was ranked number 31 in the 2019 top 100 SME survey conducted yearly by KPMG in collaboration with Nation media group – a Kenyan media company. The dilemma revolves around decision-making in the times of the COVID-19 pandemic, where structures put in place to professionalize the business facilitated the decision-making.

Complexity academic level

The case can be taught to undergraduate and graduate-level entrepreneurship and family business courses. It can also be taught to executive education short courses on family business and entrepreneurship.

Study level/applicability

The case study is suitable for discussion in masters level classes. The case explains the situation of a company which is fighting for its survival. The case reveals the alternative operations strategies it applies to maximize its capacity utilization and reduce its costs.

Case overview

The case describes a paper producing company which is earning low margins. The company’s capacity remains unused during the off-seasons. The company then plans to share its capacity with another dying industry. Both the companies plan to cooperate and share resources. However, there are other attractive alternatives too and the dilemma situations leave the gap for continuous discussions.

Expected learning outcomes

The case aims at providing potential alternatives to the students and initiating healthy discussions. The students will be able to understand the capacity utilization dilemmas and applicability of the operations strategy concept in practice.

In January 2013, small biotechnology firm Orexigen was in the final stages of testing Contrave, a promising new pharmaceutical product for the treatment of obesity. At the time, Orexigen had no products in the market, so all its hopes of financial success rested on this new treatment. Contrave had proven to be highly effective in clinical trials, and Orexigen executives were confident it would receive FDA approval.

At the same time, a much larger pharmaceutical company was considering acquiring Orexigen. Because the decision to acquire would ultimately be a financial one, the project team from the large company had to complete a valuation for Orexigen's only significant product in its pipeline, Contrave. Rarely, do cases deal with historical happenings in which lives, as well as fortunes, could be lost to achieve desired ends. History provides rich material on which to build teaching cases with the added advantage of acquainting students with the past and the influence the past has in shaping the future. Answers to the question of “Why use historical teaching cases” are related to the more general question of “Why study history.” Both questions are addressed.

After studying this case, students should be able to: explain how strategic management relates to the areas of innovation, operations, technology, entrepreneurship and emerging markets; analyse strategy implementation and execution at the operational level, in contrast to strategy formulation at the strategic mission, values and vision level; discuss innovation, entrepreneurship and new technologies in emerging markets; and assess the impact of technology-driven entrepreneurship on significant socio-economic change that is on transformational entrepreneurship, in emerging markets.

Case overview/synopsis

This case outlines key global challenges facing higher education in the African context. It discusses the African Leadership University (ALU) as an innovative higher education institution, including its origins, establishment, strategy and purpose, curriculum, technology and operations, student support network and funding. It also describes ALU’s ongoing challenges and future prospects. ALU was launched in 2015 by Fred Swaniker, founder and chief executive officer and Khurram Masood, co-founder and chief operating officer. ALU’s vision was to transform Africa by developing and connecting three million high-calibre, ethical and entrepreneurial leaders by 2035. In August 2019, Swaniker and Masood considered how to ensure ALU’s sustainability and its vision. They had already changed ALU’s operational strategy by establishing micro-campuses instead of universities to scale rapidly and avoid regulatory barriers. However, would that be enough to uphold ALU’s vision for 2035?

The case is suitable for all post-graduate students and executives doing a course in human resource management (HRM). The case will enable these students to apply concepts such as inclusion, empowerment, glass ceiling, in business situations involving women. It will help them to trace the evolution path for women employees who have the traits to lead a department or organisation and assume entrepreneurial roles.

Subject Area

The case study is particularly beneficial for MBA students specialising in HRM focussed on leadership and training. It can be used in courses such as gender and entrepreneurship for students of MBA entrepreneurship and MBA family business management. As the case is written in India, it can explore the gender issues in emerging markets surreptitiously. Most importantly, the case addresses COVID-19 perspective adequately, to teach modules embedded in main courses of any MBA program.

Case overview

PRISM World Pvt Ltd is a leading training and consultancy firm in Delhi, India. The firm is owned and managed by a young woman Dr Anubha Walia. She started her career as a human resource manager in leading Indian companies, but somewhere down the line, she felt the job was not allowing her to realise the fullest potential. The Indian corporate training industry was male dominated with self-serving men, supporting the “glass ceiling”. To break the barrier, Anubha opened her training firm founded on the basis of a new philosophy, which should serve the ideals of helping and promoting women in workplace. This new philosophy was called PRISM. Anubha provided an inclusive environment which allowed her trainers to grow and feel empowered in a gender-biased industry.Very recently, when COVID-19 pandemic happened, female trainers were under tremendous strain as training requirements completely dried up, and they were rendered jobless. Most of these educated young women had small kids and paid monthly installments for their home loans, sharing the financial burden with their husbands. Some mature trainers were single women who had to support themselves through savings in these difficult times. But Anubha’s sense of empowerment at PRISM helped these women to do things which made their livelihoods turnaround even in uncertain circumstances. PRISM philosophy made a turnaround too. While employees were thinking of abandoning their companies and vice-versa, trainers at PRISM went for free webinars to draw clients to their firms and changed the concept of training and delivery in corona times.PRISM acquired a new meaning of wellness and spirituality in these difficult times and soared ahead successfully.

Expected learning outcomes

The case study hopes to achieve the following pedagogical objectives: 1. To educate students on manners and traits of women entrepreneurs. Besides, the usual difficulties of financing and running a business, women face adversities at home in the form of lack of access to working capital, trust deficit amongst family and friends. Basically, lack of support system to propels women into the tougher role of an entrepreneur graduating from a regular employee. Gender becomes a disability, which women had to fight in the workplace. The case introduces the PRISM philosophy as a unique methodology to inculcate inclusivity in work environment leading to women empowerment. 2. To outline all issues related to ‘glass ceiling” – the barrier which existed in the corporate world for businesswomen. Students need to know about problems women faced in the business environment as well as shortcomings within themselves, which can make them unproductive. 3. To align students first hand with the challenges of COVID-19 pandemic, specific to women. The case talks about educated young and mature women in Anubha’s firm PRISM, fighting for lost livelihood owing to reduced levels of business. But women are known to be highly resilient and empowered in the right direction will turnaround the situation in their favour.

Social implications

The case has tremendous social implication for educated working women in traditional patriarchal Indian societies. Though a sizeable percentage of women have achieved higher education and started working in a male-dominated corporate world, only a small number of them are visible as entrepreneurs and/or leaders. Every woman needs to trace her journey from an employee to an entrepreneur or a CEO to assume a position of leadership. This case can be an eye opener for many such ambitious women who can build small- to mid-size businesses in a short span of time. Digital intervention is very important in COVID times to stay afloat. The author has shared links for many videos which can disseminate ideas for digital transformation in businesses. The case tries to showcase an ideal inclusive environment which will propel women to achieve their latent goals and desires breaking the 'glass ceiling.'

This case is based on primary and secondary sources of information. These sources include interviews with senior executives as well as documents provided by Mondragon and Eroski. The interviews were conducted on-site. In addition, the authors researched the literature on both organizations.

Case overview/synopsis

Eroski is the largest of Mondragon Corporation’s coops. Since its founding, Eroski has faced numerous challenges. It has responded to each challenge with out-of-the-box thinking. In response to the pandemic, Eroski become an e-commerce supermarket as well as selectively continuing bricks and mortar stores. As the pandemic is winding down, Eroski is considering how to respond to the “new normal,” which is largely undefined. The question posited at the end of the case is, “Will Eroski be able to hold to its social principles, maintain its unusual governance model and other unusual practices, and survive this latest challenge?”

Complexity academic level

Eroski of Mondragon is a complex and unusual organization. To appreciate the challenges and how they were overcome by its unique business model, a student must have a minimum background in management, corporate finance and marketing. Thus, this case would fit well into a senior or graduate class on strategic human resource management. It is also recommended for the strategy capstone course usually offered during the last year of a business bachelor’s degree (senior level) to ensure that students are introduced to what Paul Adler refers to as an alternative business model. It can also be targeted for an advanced management course or a strategy course at the MBA and executive levels.
