Abstract

In this study, the authors examine acquirers’ selection of legal advisors for mergers and acquisitions (M&A) transactions. The authors first confirm the importance of their own prior experience and imitation within this context. Then, the authors propose and find that firms with less experience in performing M&A deals place more emphasis on imitating others while firms with more experience with a particular legal advisor focus less on others’ experience with this advisor. The authors further find that when they imitate, firms selectively, rather than broadly, imitate others by focusing on their industry or state peers. The authors present corroborating evidence for these hypotheses through analyzing a matched sample of acquirer – legal advisor pairs developed from an initial dataset of 29,398 domestic and cross-border acquisitions performed by US firms between 2000 and 2010.

Abstract

Purpose

The purpose of this paper is to study the interaction of electromagnetic fields with biological tissues in the presence of antennas implanted subcutaneously for biotelemetry applications. The authors examined the influence of these radiative devices on energy absorption and also their effects as reflective metal surfaces when incoming radiofrequency energy was present.

Design/methodology/approach

The research was carried out using electromagnetic modeling based on the finite difference time domain method and the calculations were performed to determine the electric field and specific absorption rate. The implanted antenna operated in the Medical Implant Communication Service band. The incoming external electric fields considered included different frequency bands covering most current telecommunications standards.

Findings

Levels of absorbed energy with and without the implanted device.

Practical implications

The paper offers an analysis of results and comparison with current dosimetric standards and guidelines for limiting electromagnetic exposure.

Originality/value

The paper studies the interactions of implanted antennas with biological tissues, taking into account two behaviors: radiative and passive.

Abstract

Are divestitures really just the “flip side” of acquisitions? Both divestiture and acquisition are important processes for firm scope change. Frequently, these processes are considered to be “two sides of the same coin” wherein a divestiture is simply an acquisition performed “in reverse.” In contrast to this perspective, the authors submit that these two corporate strategic processes have fundamental differences in their motivations, implementation, and ramifications. Failure to recognize and address these differences could have serious consequences for firms, especially in the domains of capability development and deployment. In this chapter, the authors begin by recognizing the similarities between divestitures and acquisitions that have contributed to their “mirror image” reputations. The authors then identify and categorize the major differences between divestitures and acquisitions and explain how these distinctions can present significant challenges to firms when building and utilizing their corresponding divestiture and acquisition capabilities. Finally, the authors leverage these insights to develop not only suggestions for future research but also recommendations for firms to avoid succumbing to the fallacy of sameness between divestitures and acquisitions – and perhaps even successfully exploit it – when building, wielding, and honing the tools in their capability portfolios.

Abstract

In this chapter, the authors draw insights from the literature on institutional distance and examine whether firms engaging in cross-border acquisitions overcome the liability of foreignness by using external advisors. Specifically, the authors argue that acquiring and target firms may alleviate heightened information asymmetries and transaction costs by leveraging the information-production and uncertainty-reduction roles of M&A advisors. Using a global sample of cross-border M&As from 2001 to 2020, the results suggest that institutional distance triggers both acquirers and targets to use M&A advisors. Among the four types of institutional distance the authors examined, cultural distance – and to a lesser extent administrative distance – greatly contributes to the use of various types of advisors in cross-border deals. Interestingly, although both parties in the transaction rely on advisors to overcome distance barriers, acquiring firms appear to hire advisors more often than target firms.

Abstract

Purpose

A vertically stacked, three layer hybrid Hilbert fractal geometry and serpentine radiator-based patch antenna is proposed and characterized for medical implant applications at the Industrial, Scientific and Medical band (2.4-2.48 GHz). Antenna parameters are optimised to achieve miniaturized, biocompatible and stable transmission characteristics. The paper aims to discuss these issues.

Design/methodology/approach

Human tissue effects on the antenna electrical characteristics were simulated with a three-layer (skin, fat and muscle) human tissue model with the dimensions of 180×70×60 mm3 (width×height×thickness mm3). Different stacked substrates are utilized for the satisfactory characteristics. Two identical radiating patches are printed on Roger 3,010 (ε r=10.2) and Alumina (ε r=9.4) substrate materials, respectively. In addition, various superstrate materials are considered and simulated to prevent short circuit the antenna while having a direct contact with the metallization, and achieve biocompatibility. Finally, superstrate material of Zirconia (ε r=29) is used to achieve biocompatibility and long-life. A finite element method is used to simulate the proposed hybrid model with commercially available Ansoft HFSS software.

Findings

The antenna is miniaturized, having dimensions of 10×8.4×2 mm3 (width×height×thickness mm3). The resonance frequency of the antenna is 2.4 GHz with a bandwidth of 100 MHz at return loss (S11) of better than −10 dB characteristics. Overall, the proposed antenna have 50 Ω impedance matching, −21 dB far field antenna gain, single-plane omni-directional radiation pattern properties and incident power of 5.3 mW to adhere Specific Absorption Rate regulation limit.

Originality/value

Vertically stacked three layer hybrid design have miniaturized characteristics, wide bandwidth, biocompatible, and stable characteristics in three layer human tissue model make this antenna suitable for implant biomedical monitor systems. The advanced simulation analysis of the proposed design constitutes the main contribution of the paper.

Prior work has suggested that individual decision-making is influenced by the emotions and cognition of the decision-maker. Within the firm context, the chief executive officer (CEO) is required to make many decisions that will meaningfully impact the firm. However, little is known about how CEO emotions and cognition influence not only firm decision-making but also the performance consequences of those decisions. Within this chapter, the authors conceptually explore (1) how CEO affect intensity moderates the relationship between performance below aspirations and risk-taking; and (2) how CEO cognitive complexity determines the directional effect of the risk-performance relationship.

Purpose

The prolonged training time of the neural network (NN) has sparked considerable debate regarding their application in the field of optimization. The purpose of this paper is to explore the beneficial assistance of NN-based alternative models in inductance design, with a particular focus on multi-objective optimization and uncertainty analysis processes.

Design/methodology/approach

Under Gaussian-distributed manufacturing errors, this study predicts error intervals for Pareto points and select robust solutions with minimal error margins. Furthermore, this study establishes correlations between manufacturing errors and inductance value discrepancies, offering a practical means of determining permissible manufacturing errors tailored to varying accuracy requirements.

Findings

The NN-assisted methods are demonstrated to offer a substantial time advantage in multi-objective optimization compared to conventional approaches, particularly in scenarios where the trained NN is repeatedly used. Also, NN models allow for extensive data-driven uncertainty quantification, which is challenging for traditional methods.

Originality/value

Three objectives including saturation current are considered in the multi-optimization, and the time advantages of the NN are thoroughly discussed by comparing scenarios involving single optimization, multiple optimizations, bi-objective optimization and tri-objective optimization. This study proposes direct error interval prediction on the Pareto front, using extensive data to predict the response of the Pareto front to random errors following a Gaussian distribution. This approach circumvents the compromises inherent in constrained robust optimization for inductance design and allows for a direct assessment of robustness that can be applied to account for manufacturing errors with complex distributions.

Abstract

Purpose

Although emerging markets are distinctly known for the rapid growth and international expansion of their state-owned enterprises, little is known about the influence of parent resource advantages and mixed state ownership on a subsidiary’s performance. Using the resource-based view, this study aims to investigate how resource advantages from the parent company and state ownership influence the performance of subsidiaries.

Design/methodology/approach

This study included a unique data set of 207 subsidiaries from 33 large Brazilian multinationals located in 32 countries from 2000 to 2015. The authors used a hierarchical linear modeling and a multilevel structure based on data at different levels to analyze the influence of home-country parent resource advantages and state ownership on host-country subsidiary’s performance.

Findings

This study illustrates that state ownership can alleviate the resource advantages of parent companies. Evidence is presented, indicating that low and medium degrees of state ownership have a negative impact on the resource advantages of the parent company, consequently reducing the subsidiary’s performance. Moreover, this study highlights that low and medium degrees of state ownership lead to conflicting interests between state ownership and parent resource advantages, resulting in an overall decline in subsidiary performance.

Originality/value

This research contributes new evidence regarding state ownership and resource advantages to the field of international business studies and the domain of Latin American multinational enterprises, Multilatinas. The results suggest that low and medium levels of state ownership diminish the influx of resources from parent companies, thereby restricting the subsidiary’s performance.

Abstract

Advisors play a key role in the mergers and acquisitions (M&A) process, but research to date has rarely focused on how their influence impacts these transactions. The present chapter takes stock of the present literature on M&A advisors from finance, economics, and management in order to integrate the currently diverging research traditions into a coherent framework. The current research has focused on proximal acquisition outcomes, like acquisition premiums or expected performance in the form of cumulative abnormal returns, but there is limited theoretical understanding of the advisors impact on the post-acquisition period. Moreover, while the role of advisor reputation has been highlighted on both the management and finance literatures as an important aspect of the role advisors play in the M&A process, there seems to be much to be addressed. Furthermore, and perhaps most importantly, the nature of the relationship between the advisor and the acquirer or target presents challenges to researchers where the advisor acts both as a provider of expertise in the M&A process, but may be simply acting on their own best interest. The new framework that the authors present here provides management scholars with a roadmap into a cohesive research agenda that can inform our theoretical understanding of the role of M&A advisors.
