Abstract

This case requires students to evaluate alternative dual-share-class corporate structures that allow companies and entrepreneurs to pursue profit with purpose. The case explores Impact Makers, an IT consulting company based in Richmond, Virginia. While original founders of the firm hold all voting rights, the cash flow rights belong to two nonprofits setting the stage for a Newman's Own model of management consulting. The case discusses whether and how the alternative corporate structure aids the firm's overall strategy to attract top-quality employees, pay them competitive salaries, and provide superior service to its clients while donating 100% of its lifetime value to charitable causes, largely through partnerships with various nonprofit organizations. More importantly, the case asks students to evaluate how such a dual-share-class and dual-purpose company can raise capital to fund continued growth.

The case opens with CEO Michael Pirron reminding himself of all the questions he had run through to execute a strategy to further grow Impact Makers' consulting business both through expanding a menu of services and through conquering new geographical markets. To do either, or both, the company needed a cash infusion. Internal cash was limited, as up to 40% of it flowed to charitable partners, demonstrating Impact Makers' commitment to its mission. Raising debt for a company without fixed assets was challenging and time consuming. Complicating it all was that being structured as a nonstock corporation rendered equity raising difficult. Could Impact Makers raise money to grow and stay true to community values at the same time?

John Williams, senior director of marketing for Microsoft's .NET, was trying to build the .NET brand, a comprehensive family of next-generation connectivity software products. Highlights the challenges of branding and positioning a complex technology offering. The first challenge facing Microsoft was to develop a common definition of .NET, which had been in flux over the prior two years. The second challenge was to choose between an umbrella branding strategy, a sub-branding strategy, and an ingredient branding strategy. The third challenge was to create a value proposition that would appeal to three very different target audiences: business decision makers, IT professionals, and developers.

To analyze the branding and positioning of a complex new technology offering: by defining a new product offering for public understanding and comprehension; evaluating brand strategies for optimal effect, considering possible hurdles to implementation of each strategy; and developing a value proposition attractive to differing audiences.

Learning outcomes

This case is designed to introduce students to organization culture and how employees are being affected by it. They should have some familiarity with organizational behavior (OB) issues, especially in relating to work culture. They need to be familiar with the related theories and models in organization behavior and development. More particularly, the learning objectives using this case are as follows. By using this case, the students should be able: to understand the real-life workplace scenario where fellow colleagues, like Catherine, can act bossy; to understand the problems because of communication barriers at the workplace. to be exposed on the concept of leadership style and organizational culture; and to understand the necessity of a leader’s interference in handling a chaotic situation in the organization.

Case overview/synopsis:

This case illustrates the challenge faced by a young entrepreneur with regard to handling workplace chaos among employees. It highlights the importance of having a smooth communication flow and work culture in the organization. SWM was a swimming center in Southeast Asia founded by Ayyub, a young entrepreneur, in July 2014. Over two years, in 2016, SWM had designed different ranges of swimming programs for children and adults. The company’s culture gave employees freedom and flexibility to work. During 2015, the company’s growth was fast, thus encouraging Ayyub to recruit new staff to handle business operations. But hiring new staff caused problems among employees. On September 2016, Ayyub received numerous complaints from employees about a particular senior staff named Catherine with regard to her quarrelsome attitude and bossy behavior toward other junior employees. As a consequence, four employees left within a one-year period, and Ayyub started to receive complaints almost every week. However, because as Catherine was Ayyub’s friend and she was loyal to the company and technical skills, Ayyub fervently wanted to retain Catherine. Nevertheless, he was in dilemma how to fix this workplace miscommunication to maintain the harmony and peace in the organization. He was planning to open a new branch at Southeast Asia on February 2017, during Chinese New Year. He wanted to solve this problem before he starts his new branch. Taking into consideration the whole situation, Ayyub is now contemplating whether to conduct one-to-one meetings with Catherine on a continuous basis to train her with communication and leadership skills, isolate her in a department with less interaction with other staff, transfer her to the new branch or fire her.

The case target audience is for MBA students, particularly for OB and HR classes. Students/participants are challenged to identify the major issue in the case and help decision maker to make decision.

Students are expected to integrate decision-making tools and frameworks to create decisions under uncertainty. Students are expected to understand the general business process of fuel retail industry.

Case overview/synopsis

PT. Pertamina Retail (PTPR) is a subsidiary of PT. Pertamina, an Indonesian state-owned oil and natural gas company. In the first quarter of 2020, PTPR’s sales volume decreased due to the COVID-19 pandemic’s large-scale social restrictions. Iin Febrian was just appointed as President Director in March 2020; he must formulate a survival strategy facing COVID-19 pandemic uncertainties. The case elaborates on PTPR’s decision to expand immediately or hold. Scenarios and expected values have been given to simplifying the calculation of a decision tree. The case also challenges students to think critically on providing a strategy to survive during the COVID-19 pandemic and beyond using decision tree analysis and BCG Matrix or Ansoff Matrix.

Case overview

Social enterprises and nonprofits at present increasingly look to corporate firms for grant funds to finance their activities and assets. This case features the experiences of one of the largest nonprofit eye care providers in India, LV Prasad Eye Institute based in Hyderabad in accessing corporate financial support in the form of corporate social responsibility funding. The case deals with the organization challenges, stresses and strains that arise in a nonprofit–corporate partnership. Specifically, it focuses on the strategic and operational challenges that emerge from the partnerships. The partnerships reviewed in the case pertain to rehabilitation.

Expected learning outcomes

After solving the case, the participants will be able to understand the stages in developing collaborations between nonprofits and businesses for corporate social responsibility. They will also be able to understand the internal implications for nonprofits operations and strategy from such collaborations.

Synopsis

In 2010, approximately one-third of US children and adolescents were classified as at least overweight, with 17 percent classified as obese. In addition to other causes, the marketing and advertising of food directly to children was identified by a Task Force on Childhood Obesity as a contributing factor. As a result, food industries began to self-regulate. Consumer advocacy organizations developed guidelines for advertising products targeted to children. Cereal companies, such as General Mills (GM), struggled with whether or not to adopt those standards. GM began to change both marketing and product advertising in small ways. The changes were considered steps in the right direction but GM continued to be under scrutiny of advocacy groups. This case addresses the struggle of General Mills to make changes to product nutritional content and/or marketing and to address the societal concern about childhood obesity while also meeting responsibilities to consumers and shareholders.

Research methodology

The case was researched utilizing secondary data – all materials are readily available to the public. There is no disguise of any actual person or entity and no relationship between the authors and the organizations or individuals mentioned in the case. Frequent sources include the General Foods, Children's Food and Beverage Advertising Initiative and Center for Science in the Public Interest web pages.

This case could be used at an undergraduate or graduate level. Legal Environment of Business, Business Ethics and any Marketing course.

Theoretical basis

Synopsis

Republic Electric is faced with the need to engage in a systematic process of evaluating vendors for its just-in-time manufacturing. The case gives students the opportunity to think through the process for vendor selection in the context of real-world constraints for a specific organization, to become acquainted with the Delphi technique for developing consensus, to gain hands-on experience with linear averaging, to engage in calculations of value indexes, and to recognize the marketing implications of effectively evaluating vendors. A key takeaway for students is the fact that vendor selection decisions are multifaceted and will vary among organizations depending on each organization’s particular strategic needs, operational constraints, and human judgment.

Research methodology

The case is based upon a consulting assignment with the company that is represented by Republic Electric. The experience was gained first-hand by one of the authors.

Relevant courses and levels

This case is targeted at undergraduate students in marketing, materials management, supply chain management, and purchasing, but can work well in a variety of business courses in which supply chains or the development of evaluation tools is studied, to include graduate classes.

Theoretical bases

The concept of vendor assessment is well developed in the literature and represents a pragmatic, but often neglected, step in the practice of choosing suppliers.

Case overview/synopsis

The case study takes a look at the ways and means of starting a small business depending on the owner managers experience, capabilities and skills including networking which are germane to success. It also highlights the ethical issues that small business proprietors have to face in order to make money and grow. The setting of the case is a town in Sindh province of Pakistan, which setting generally represent the arena where such business (Single Proprietorship) develop and get involved in the economic development of a backward area. Case description

Dean Adams was given notice to develop an online program with the School of Business Administration as a prototype of online education for the rest of the University. A major task which faced the Dean involved working with University information technology (IT) staff and faculty to choose a learning management system (LMS) to support the online program. After talking with the Chief Information Officer at Seacoast University and appointing a committee made up of IT staff and faculty, the Dean was presented with the committee's recommendation that focussed on two major decisions: first, choosing the LMS product for the University, and second, choosing to locate the LMS product and server either on-campus or off-campus. In the course of considering whether or not to accept the committee's recommendations, Dean Adams weighed the evaluations and justifications as outlined by the committee in the context of Seacoast University's IT situation.

After a successful discussion and analysis of the case, the participants will be able to distinguish and appreciate the situations of conflict of interest (COI), whistle-blowing, etc. Initiate appropriate methods to avoid/minimize the impact of COI and ensure justice and fair-play to all stake-holders. Identify and appreciate the work-context of each executive-position and initiate standard operating procedures to protect the interests of the enterprise and all its stakeholders. Appreciate the relevance of whistle-blowing and to initiate appropriate methods to ensure justice and fair-play to all stake-holders.

Case overview/synopsis

In the context of the Industrial Credit and Investment Corporation of India (ICICI)-bank, the systemic inadequacies seemed to have failed in preventing the incidences of COI. The organization was too centralized to be able to respond proactively to the allegations. The case lays bare the inadequacy of professionalism among the media in responding promptly to such instances. The case generalizes that, with increasing globalization, such incidences have global ramifications and the organizations face much greater risks than ever. The case concludes that to emerge as a mature and leading organization in the global market, ICICI-bank needed to strengthen various aspects of corporate governance; similarly to emerge as a developed economy, India needed to develop independent watchdogs to monitor the activities of corporations continuously. Media needed to be independent and mature to fulfil its duty of continuous and transparent communication to the public.

The case can be understood and analysed by management students in the post-graduate level or by working executives with at least four to five years of experience in the corporate sector.
