Abstract

We contribute to the growing literature examining how social enterprises might best accommodate their hybrid structure when pursuing dual goals of social improvement and economic sustainability. Drawing on extant literature, the case is made for why synergy between the social and commercial business models that hybrid social enterprises employ should positively impact effectiveness in delivering organization outcomes. We then develop a method for comparing the synergy between the social and commercial business models employed within and across organizations, and test the method using a sample of seven social enterprises operating in different social fields. Results demonstrate that our method can be applied consistently across a range of social enterprise types and that variation in degree of synergy is considerable with overlap rates ranging from 9% to 77%. Using learning from this exploratory study, we develop propositions describing how and why social entrepreneurs develop business model synergy, the relationship between business model synergy and organizational performance, and suggest future research to test these propositions. Implications for theory development and practice are discussed.

Abstract

Purpose

This paper takes the manufacturing cluster supply chain as the research object and explores the evaluation and enhancement strategy of manufacturing cluster supply chain synergy. The purpose of this study was to (1) analyze the mechanism of manufacturing cluster supply chain synergy; (2) construct manufacturing cluster supply chain synergy evaluation model; (3) algorithm realization of manufacturing cluster supply chain synergy evaluation and (4) propose manufacturing cluster-based supply chain synergy enhancement strategy.

Design/methodology/approach

Breaking through the limitations of traditional manufacturing cluster supply chain synergy evaluation, we take horizontal synergy and vertical synergy as coupled synergy subsystems, use the complex system synergy model to explore the horizontal synergy between core enterprises and cluster enterprises and the vertical synergy of supply chain enterprises and use the coupling coordination model to construct the coupled synergy evaluation model of manufacturing cluster supply chain, which is an innovation of the evaluation perspective of previous cluster supply chain synergy and also an enrichment and supplementation of the evaluation methodology. This is not only the innovation of the evaluation perspective but also the enrichment and supplementation of the evaluation method.

Findings

Using Python software to conduct empirical analysis on the evaluation model, the research shows that the horizontal and vertical synergies of the manufacturing cluster supply chain interact with each other and jointly affect the coupling synergy. On this basis, targeted strategies are proposed to enhance the synergy of the manufacturing cluster supply chain.

Research limitations/implications

This study takes manufacturers, suppliers and sellers in the three-level supply chain as the research object and does not consider the synergistic evaluation between distributors and consumers in the supply chain, which can be further explored in this direction in the future.

Practical implications

Advanced manufacturing clusters, as the main force of manufacturing development, and the synergistic development of supply chain are one of the important driving forces for the high-quality development of China’s manufacturing industry. As a new type of network organization coupling industrial clusters and supply chains, cluster supply chain is conducive not only to improving the competitiveness of cluster supply chains but also to upgrading cluster supply chains through horizontal synergy within the cluster and vertical synergy in the supply chain.

Social implications

Research can help accelerate the transformation and upgrading of clustered supply chains in the manufacturing industry, promote high-quality development of the manufacturing industry and accelerate the rise of the global value chain position of the manufacturing industry.

Originality/value

(1) Innovation of research perspective. Starting from two perspectives of horizontal synergy and vertical synergy, we take a core enterprise in the cluster supply chain as the starting point, horizontally explore the main enterprises of the cluster as the research object of horizontal synergy, vertically explore the upstream and downstream enterprises of the supply chain as the research object of vertical synergy and explore the coupling synergy of cluster supply chain as two subsystems, which provides new perspectives of evaluation of the degree of synergy and synergy evaluation. (2) Innovation of research content. Nine manufacturing clusters are selected as research samples, and through data collection and model analysis, it is verified that the evaluation model and implementation algorithm designed in this paper have strong practicability, which not only provides methodological reference for the evaluation of manufacturing cluster-type supply chain synergy but also reduces the loss caused by the instability of clusters and supply chains and then provides a theoretical basis for improving the overall performance of cluster-type supply chains.

Abstract

Purpose

The purpose of this paper is to develop an effective synergy measurement model to support the decision-making process in mergers and acquisitions (M&A).

Design/methodology/approach

Relevant literature is reviewed and critically assessed. An interpretive methodology is used to analyse empirical data from a questionnaire survey and interviews of M&A experts. A framework is provided with the objective to support the process of synergy measurement and the success of pre-deal planning.

Findings

The authors find several mismatches in synergy measurement practices. The strategic factors, which are considered very relevant to generating reliable forecasts, are surprisingly not adequately quantified. On the contrary, a synergy measurement model may integrate the assessment of these factors: the type of synergy, the size of synergy, the timing of synergy and the likelihood of achievement.

Practical implications

The paper offers interesting implications for firms, advisors and consultants, pointing out that synergy measurement issues are related to the analysis of strategic factors affecting synergy. These findings suggest that the pre-planning process should integrate people and tools from different backgrounds, from strategy to accounting, to effectively measure the synergy value. The authors also suggest the development of new tools in response to the needs of practitioners for best practices in M&A.

Originality/value

This paper highlights that the effective use of synergy measurement models are critical to improve the success of M&A due diligence.

Abstract

Purpose

The purpose of this paper is to develop a model considering synergy effect for prefabricated construction service combination selection.

Design/methodology/approach

This research defines prefabricated construction service as a service-led construction method that meets the specific requirements of clients. Based on network theory, the multi-dimensional collaborative relationships of the prefabricated construction inter-services are formulated. The synergy effect is quantitatively calculated through the linear weighting of the strengths of collaborative relationships. Further, a weighted synergy network (WSN) is developed, from which a service composition selection model considering the synergy effect is established. Then, a genetic algorithm is employed to implement the model.

Findings

The results showed that (1) when the number of prefabricated construction services is increased, the synergy effect of combination options is enhanced; (2) The finer-grained prefabricated construction services, the stronger the synergy effect of service combination; (3) Clients have heterogeneous preferences for collaborative relationships, and there are differences in the synergy effect of service combination.

Originality/value

The contribution of this research includes proposed a method to quantify the synergy effect from the perspective of collaborative relationships, explored the specific procedure for the prefabricated construction service combination selection under the service-led construction, and provided a reference for promoting the development in construction. Besides, the model proposed could be applied to prefabricated construction service composition selection with diverse research boundaries or client preferences by executing the same procedure.

Abstract

Cross-border mergers and acquisitions are now the fundamental mechanisms of globalization and considered as prime vehicles for business engagement across the countries through the foreign direct investment route. Significant amounts of foreign funds are crossing the country borders for acquisitions with the objectives of earning super normal returns. But realizing super normal returns from foreign acquisitions are far more difficult than that of foreign greenfield projects or domestic M&As or greenfield projects. The super normal profit itself is “synergy” which is the main driving force for any M&A including the cross-border one. Even though foreign policies of individual countries affect cross-border M&A decisions, corporate and market-driven financial numbers significantly influence the synergy estimation. Synergy should bring in all round greater efficiency and value addition to all stakeholders. But if the cross-border deal is not financially crafted properly, it may fall flat causing more distress to the acquirer compared to domestic acquisition. The theory of synergy is well developed which mostly applies to the domestic M&As. But due to inherent differences between cross-border and domestic M&As, the same synergy theory may not apply equally to the cross-border ones. Therefore, a different connotation of synergy is propounded in this work for cross-border M&As, which can be a corollary to the conventional theory of synergy. This alternative theory of synergy aims at helping the companies in developing their own financial strategies before making their strategic decisions for cross-border M&A deals.

Purpose

The purpose of this paper is to examine the synergy between strategic resources and operational tool orchestration for organization development.

Design/methodology/approach

The article has a progressive empirical multiple-level research design. With a cross-sectional analysis, this investigation confirms the organization development can be related to strategic resources and a complex interplay of factors. Along with this method, our study enables rich empirical conceptualization and helps with extending theory.

Findings

The results indicate that in operational tool orchestration, the higher the synergy in the factors of production, the greater the strategic development, competitive positioning and sustainability of the organization. In sum, according to these results, the synergy between operational tool orchestration and the factors of productivity could have a significant effect on organizational objectives achievement.

Originality/value

This research provides researchers with an empirical base stating that organization development can be related to strategic resources in an operational context. The article also provides a new contribution to the existing literature in management development by confirming the significance of vital resources and functional tool orchestration in organization optimization and will be referenced by other authors in the future.

Abstract

With the increasing level of competition in many competitive environments, a body of research regards the ability to formulate and implement a formulated strategy as an equally important source of competitive advantage. The rate of change in both internal and external environments of manufacturing firms is increasing, which necessitates that increased attention be paid to strategic planning and strategy formulation. This paper reviews the concepts of strategy, strategic planning and strategy formulation. It then discusses the common strategy determinants and describes the characteristics of several planning frameworks and methodologies. A conceptual synergy model for strategy formulation is proposed, and its features and characteristics are presented along with a discussion of its applicability in manufacturing enterprises.

Abstract

Purpose

The purpose of this paper is to advance a conceptual comprehensive framework to analyze synergy management pitfalls in mergers and acquisitions (M & As). The framework highlights the main dimensions of synergy management, the most relevant synergy pitfalls and the ways to overcome them.

Design/methodology/approach

A greater recognition of synergy management literature in M & As is developed. A framework is provided integrating the compatible elements of previous broad areas of research and the main findings of studies on several topics related to synergy.

Findings

Prior literature has suggested that synergy is an important motivation of M & As, has tended to be overestimated and has been difficult to achieve. Specifically, there are three relevant synergy pitfalls: the “mirage,” a tendency to overestimate synergy potential, the “gravity hill,” the underestimation of the difficulties in synergy realization and “amnesia,” a dangerous lack of attention to the realization of synergy. An effective synergy management requires an analysis of five dimensions: the steps of the M & A process, the several values of synergy, the forbidding effects of poor synergy management, the potential causes of synergy inflation and the selection of solutions to synergy pitfalls.

Practical implications

The comprehensive framework suggests insights and guidelines to help managers to overcome pitfalls in synergy management. Managers will learn the following lessons: “when” pitfalls should embrace synergy management; “where” pitfalls may occur; “why” pitfalls may occur; “what” consequences can result in a value of “realized synergy” lower than the “expected synergy”; and “how” actions, tools and behaviors can overcome hidden dangers in synergy management.

Originality/value

The study changes the focus from a single, generic synergy trap to three more analytical, useful synergy pitfalls: the mirage, the gravity hill and the amnesia. By shedding light on synergy management pitfalls, this paper enriches M & A literature and enhance practical solutions to reduce pitfalls in synergy decision making.

Abstract

Purpose

This study aims to examine the role of Islamic economic and social institutions during Covid-19 and try to propose a model that highlights Islamic economics and social institutions’ role in providing community economic, social and health recovery support.

Design/methodology/approach

This research uses a qualitative approach with a multicase method. Interviews with the institutions including the Amil Zakat, Islamic Banks, Micro Waqf Banks and Islamic Cooperative (Baitul Maal wat Tamwil) were conducted in order to develop a model about how the integration between each institution in handling the effect of COVID-19.

Findings

The model shows the interaction roles of each Islamic institution and implementation in the long term and short term in handling the impact of Covid-19, particularly in the economic, social and health sectors. These institutions will assist the government in establishing community economic independence in the face of COVID-19, which has caused economic sluggishness or recession.

Research limitations/implications

This study proposes the model of synergy using a qualitative approach. Future studies can develop the synergy model by employing a statistical and quantitative method, such as by employing analytical network process method.

Originality/value

This study adds the literature about empirical evidence on the role of each Islamic economic and social institution and develops new scenario model about integration of those institutions in overcoming economic and social problems during the COVID-19 pandemic. These interactions play a role in shaping the community’s economic independence in dealing with the economic downturn due to COVID-19.

Abstract

Purpose

Mergers and acquisitions (M&As) are an important strategic tool for continuous adaptation, sustainable corporate development and external growth. At the same time, M&As involve high levels of risk with mixed performance results even under normal circumstances. Even though the M&A market was continuously growing for the last decade, it was abruptly ended by the coronavirus 2019 (COVID-19) pandemic as executives were more concerned about liquidity than with long-term growth strategies. This raises the question how M&A behaviour is affected by the economic fall-out of the COVID-19 pandemic.

Design/methodology/approach

The mixed method research design was employed in this study.

Findings

The authors particularly investigate how target selection as well as synergy management are affected by the pandemic. The study analysis reveals four archetypical responses to the COVID-19 crisis. The authors describe those responses in detail and analyse antecedents that seem to influence firms' acquisition behaviour during the pandemic.

Originality/value

The paper draws on survey and interview data of M&A practitioners.
