Abstract

Purpose

The purpose of this paper is to integrate classical elite theory into theories of constitutional bargains.

Design/methodology/approach

Qualitative methods/surveys/case studies.

Findings

Open-ended constitutional entrepreneurship cannot be forestalled. Constitutional entrepreneurs will almost always be social elites.

Research limitations/implications

The research yields a toolkit for analysing constitutional bargains. It needs to be used in historical settings to acquire greater empirical content. Need to be applied to concrete historical cases to do economic history. Right now it is still only institutionally contingent theory.

Practical implications

Formal constitutions do not, and cannot, bind. Informal constitutions can, but they are continually evolving due to elite pressure group behaviors.

Social implications

Liberalism needs another method to institutionalize itself!

Originality/value

Open-ended nature of constitutional bargaining overlooked in orthodox institutional entrepreneurship/constitutional economics literature.

Abstract

Purpose

The purpose of this paper is to explore how culture affects economic development on Native American reservations by examining how culture directs the attention of entrepreneurs and interacts with formal governance institutions.

Design/methodology/approach

This paper combines theoretical insights from economic sociology, market process economics and institutional economics as a basis to evaluate entrepreneurship and economic development on Native American reservations. Culture, as a web of social meanings, shapes what opportunities entrepreneurs are alert to, influences how they perceive transaction costs and determines whether institutions achieve their intended ends. Historical and contemporary case studies are used to build analytical narratives to corroborate the theoretical approach.

Findings

The federal government has imposed many formal institutions on reservations, which have disrupted traditional governance and property rights structures. If formal institutions do not comport with the underlying culture, those institutions do not facilitate positive entrepreneurship and economic growth. Despite the barriers, entrepreneurs across several reservations have leveraged their cultural and social ties to create robust informal economies. In some cases, imposed institutions have fostered rent-seeking and have given rise to a culture of rent-seeking.

Research limitations/implications

This paper looks at Native American entrepreneurship and institutions in the broadest sense. However, there is a large amount of diversity within the cultural and governance structures of Native American communities. Future research could examine specific tribes or reservations in more detail.

Practical implications

This paper elucidates cultural and institutional barriers to productive entrepreneurship on Native American lands. Policymakers must understand these root causes if they are to facilitate economic growth.

Originality/value

This paper’s combination of theoretical perspectives helps explain the widespread economic development issues on Native American lands.

Abstract

Purpose

From a perspective of ‘critical performativity’, John Lewis is of special interest since it is celebrated as a successful organization and heralded as an alternative to more typical forms of capitalist enterprise.

Methodology/approach

Our analysis uses secondary empirical material (e.g. JLP documents in the public domain, histories of John Lewis and recent empirical research). Our assumption is that engagement and interrogation of existing empirical work can be at least as illuminating and challenging as undertaking new studies. In addition to generating fresh insights, stimulating reflection and fostering debate, our analysis is intended to contribute to an appreciation of how structures of ownership and governance are significant in enabling and constraining practices of organizing and managing.

Findings

The structures of ownership and governance at John Lewis, a major UK employee-owned retailer, have been commended by those who wish to recuperate capitalism and by those who seek to transform it.

Research limitations/implications

JLP can be read as a ‘subversive intervention’ insofar as it denies absentee investors access to, and control of, its assets. Currently, however, even the critical performative potential of the Partnership model is impeded by its paternalist structures. Exclusion of Partners’ participation in the market for corporate control is reflected in, and compounded by, a weak form of ‘democratic’ governance, where managers are accountable to Partners but not controlled by them.

Practical implications

Our contention is that JLP’s ownership and governance structures offer a practical demonstration, albeit flawed, of how an alternative form of organization is sufficiently ‘efficient’ and durable to be able to ‘compete’ against joint-stock companies.

Originality/value

By examining the cooperative elements of the John Lewis structures of ownership and governance, we illuminate a number of issues faced in realizing the principles ascribed to employee-owned cooperatives – notably, with regard to ‘democratic member control’, ‘member economic participation’ and ‘autonomy and independence’.

Abstract

This book is a policy proposal aimed at the democratic left. It is concerned with gradual but radical reform of the socio‐economic system. An integrated policy of industrial and economic democracy, which centres around the establishment of a new sector of employee‐controlled enterprises, is presented. The proposal would retain the mix‐ed economy, but transform it into a much better “mixture”, with increased employee‐power in all sectors. While there is much of enduring value in our liberal western way of life, gross inequalities of wealth and power persist in our society.

Abstract

The Mental Health Act Commission (MHAC) is a “watchdog” body concerned with the rights of detained psychiatric patients in England and Wales. It was created by the UK government as a “quasi‐governmental” body in an ad hoc manner to defuse the controversy engendered by competing lobbying bodies during the passage of reforming legislation. The consequence was that its formal (legal) constitution conflicted with the “informal constitution” of expectations about the structure and operating of the MHAC, leading ultimately to major and bitter internal conflict. The history of the MHAC suggests important lessons about the need for such bodies to have a clear and consistent constitution.

PN Rao Fine Suits, famously known as the “best tailors” for men's suits and groom wear, started with their first shop in 1923 as a small business of a tailoring shop catering to the needs of the British ladies in Bangalore, India, and by 2013, had four showrooms spread across Bangalore and Chennai, with an annual turnover of INR360 million. Over the years, the patrons of PN Rao have grown not only in Bangalore but across the globe, from countries such as the USA, the UK, Germany, Japan, Denmark, Sweden and The Netherlands. The PN group had three business arms: the PN Rao showrooms, Rupasi and PN Rao Creations. This family business has survived nine decades in business, with the third generation of family now actively involved in the operations and expansion of the business. Chandramohan Pishe and Machender Pishe, the second-generation brothers in the business, believe in a conservative growth path for their brand, compared to the third-generation cousins, Naveen Pishe and Ketan Pishe. Naveen and Ketan are aware of the market opportunities and the competition and often look for the differentiator that their brand can offer. They are very enthusiastic about their future expansion plans and would like to open 100 showrooms by 2023, their centennial year. The market indicators are favourable and, if leveraged strategically, do offer opportunities to fulfil their expansion plans. Naveen and Ketan firmly believe in the need of instituting a family constitution as they move forward with their expansion plans. The second generation is not very confident of this idea, however, as they believe the family values to be strong enough to continue in the same fashion.

Expected learning outcomes

Understand the challenges of a small business and the importance of re-inventing by leveraging a mix of market opportunities to grow and sustain; to evaluate the need and importance of family constitution at the PN Rao Group to sustain, scale and govern in a manner so as to avoid any kind of future family business conflicts.

Abstract

The modern family constitution is a written declaration summarizing a process of agreement and decision-making within an entrepreneurial family regarding the motives, guidelines, and regulations for the family members’ cooperation within the family and the family business association. This chapter exposes facets of family constitutions from a historical and a practical point of view. In order to do so, it begins with a review of the predecessors and origins of family constitutions. Subsequently, focusing especially on the interplay between a family constitution and the family business’ binding legal agreements, it describes four forms of family constitutions that have evolved from different consulting approaches in practice. The chapter concludes with some legal implications.
