Abstract

Purpose

The purpose of this paper is to model SME board configurations and then to examine empirically their diversity. Polarity in corporate board research around two primary tasks (control and service/strategy), neither captures comprehensively the range of SME board types, based on what they actually do, nor elucidates how boards configure and why. SME heterogeneity is problematic for understanding how the triumvirate of power and control – owners, directors and executives – governs in such firms.

Design/methodology/approach

Survey research is used to examine 186 French private SMEs. Factorial and cluster analyses are used to classify board configurations according to board task performance.

Findings

Results reveal six different board types among small firms. The findings indicate that both organisational and board design need to be adjusted to align with the differentiation between the ownership and the management, and between the ownership and the directorship. The greater the differentiation between these power/control functions in response to increased internal and/or external contingencies, the more varied will be the board’s portfolio of tasks, with implications for the director capabilities and board competence.

Research limitations/implications

The research extends SME board governance theory and practice by bringing greater clarity to the field of board task performance in SMEs. It provides insights into explicit board task-related configurational behaviour through recognising the degree of differentiation between the triumvirate power/control functions at the apex of the small firm. SME boards in the sample show not just a single configuration but a combination from a portfolio of tasks with different emphases on each according to their circumstances. This finding implies that a particular type of board may select a task, or set of tasks, from the portfolio, depending on the nature of the SME in terms of its proximity – whether it is characterised more by specificity or by denaturation. Further research is needed to understand the variation in these configurations over time in response to internal and external contingencies and what board emphases and processes are involved in transitioning through these evolutions.

Practical implications

The findings are important because the extent of knowledge about what the configuration comprises will determine how effectively a board will execute its tasks. This knowledge is useful in helping boards place emphasis on how best to concentrate their efforts on creating value for the SME, by selecting an effective combination of tasks from a given board configuration depending on their circumstances.

Originality/value

To appreciate the distance the National Board for Professional Teaching Standards (NBPTS) certification program has come, and the speed with which it has traveled that distance, a glance at its first decade from the perspective of assessment development is essential. The particulars of the history of the NBPTS's assessment strategies and designs have determined in many ways the current assessment architecture: the evolution of the assessment's design reveals the growth in our knowledge of innovative assessment strategies and formats and their uses. In this chapter, I will briefly summarize the history of the NBPTS assessment program, then describe and analyze the earliest assessment designs, some intermediate approaches, and then the current iteration (commonly referred to as the next generation certificates). I will finally detail the current assessment architecture, connecting that architecture to both the history and the lessons learned from the initial assessments.

Abstract

By 2006, the National Board for Professional Teaching Standards had offered advanced certification to 50,000 accomplished teachers using performance-based assessments of their teaching knowledge and practice (about 2% of the US teaching force). However, the Board has had much greater impact than the initial numbers of certified teachers suggested. As the first professional effort to define accomplished teaching, it has also had an enormous influence on standard-setting for beginning teacher licensing, teacher education programs, teacher assessment, on-the-job evaluation, and professional development for teachers throughout the United States. This chapter describes some of the results of the Board's work, evaluates its impact, and discusses issues that it raises for the future of teaching and the nature of the teaching career.

Teachers are central to the learning of their students, and teacher learning is integral to teaching quality. In this study, six teachers who had recently completed the National Board assessment in the Middle Childhood/Generalist certificate area were interviewed over a six-month period about the effects of the certification process on their views and practices. Overall, the six teachers described changes in their practices for each of the eleven standards, with nearly all of the teachers describing changes in three areas in particular – reflection, assessment, and family involvement. In addition, most of them reported that the certification experience increased their confidence as teachers in part because it validated their current practice and in part because others treated them with more respect. Overall, four of the six teachers described their experience as having had a significant positive effect on their practice, with one teacher characterizing the effect as modest, while another reported little change. The teacher who reported few changes did so because she believed that her practices were already consistent with the National Board vision. A number of features of the National Board certification process appeared to contribute to the professional development of these teachers, including the standards themselves, the portfolio process (but not the assessment center exercises), writing structured commentaries, and collaborating with colleagues.

This chapter, completed in 1999, provides an overview and critical analysis of the validity research agenda undertaken by the National Board for Professional Teaching Standards (NBPTS) for its assessment to certify accomplished teachers at the end of its first decade of assessment development and implementation. The review is presented in three major sections: (a) an overview of the validity criteria underlying the review; (b) a description of the National Board's research agenda presented in its own terms, focusing first on the studies that were routinely carried out for each certificate and second on the “special studies” that were not part of the routine agenda; and (c) a series of six critical observations and explanations based on the validity issues described in the first section.

Abstract

Purpose

To describe the broad range of reform initiatives that has been undertaken in response to a series of mutual fund scandals that have become apparent starting in 2003. This is the second of a two‐part article. The first part, in Volume 7, Number 1, is a chronology of developments related to the fund scandals since 1 January 2003.

Design/methodology/approach

Describes SEC reforms, including governance reforms; compliance reforms; SEC‐directed expanded disclosure regarding fund expenses and costs; reforms with respect to share distribution practices; reforms addressing market timing, selective disclosure, and fair value pricing; other reform initiatives including codes of ethics for investment advisers and a requirement that hedge fund advisers register with the SEC; an enhanced surveillance and inspection program for mutual funds; and enforcement activities. Describes private civil suits brought against fund companies, legislative proposals, the roles of NASD and New York State Attorney General Eliot Spitzer, the development of “best practices” guides by industry groups, and measures being promoted by institutional investors.

Findings

A broad range of reform initiatives has been undertaken by the SEC; NASD; and the New York, Massachusetts, and California Attorneys General. Both the US House of Representatives and the Senate have held hearings and proposed legislation, which at the moment appears dormant. Independent directors of only one mutual fund have been implicated in the trading abuse scandals. Hundreds of private civil lawsuits have been brought by fund shareholders against fund groups but virtually none has resulted in substantial restitution to plaintiffs.

Originality/value

A detailed and comprehensive analysis of reform initiatives in response to mutual fund scandals since 2003.

The scoring system for the National Board for Professional Teaching Standards (NBPTS) assessments was a groundbreaking undertaking that brought with it a host of unanticipated challenges. These, in turn, generated a complete revision of the approach to scoring and the design underwent a number of changes during the first decade. Beginning with an analytical model which was so ambitious that it was entirely too cumbersome and complex to be undertaken within a reasonable timeframe, assessment developers had to systematically redesign a scoring system that would be at once reliable, valid, and operationally feasible.

Abstract

Purpose

The purpose of this paper is to investigate impacts of governance characteristics and bilateral inter‐organizational learning on performance in the context of corporate venture capital (CVC) activity.

Design/methodology/approach

Based on a dataset of 232 CVC investments, the author examined how characteristics such as autonomy, incentive scheme, and broad representation of a CVC program and the knowledge inflows and outflows of the corporate investors impacted the corporate investor's innovativeness and the portfolio company's performance.

Findings

The results show that knowledge outflows from corporate investors can help enhance their portfolio companies' performance. In addition, incentive scheme and autonomy may facilitate knowledge inflows from portfolio companies to corporate investors, and influence the performance of both corporate investors and portfolio companies.

Originality/value

The paper's findings contribute to the inter‐organizational learning literature by empirically analysing the mutual learning processes in the context of corporate venturing. The paper extends corporate venturing literature by linking governance characteristic to the underlying mechanism of inter‐organizational learning between the corporate investors and the portfolio companies, as well as their performance.

Abstract

At any point in time, most companies have a myriad of internal development initiatives in progress, dealing with a broad spectrum of different activities with respect to time horizon, functional areas involved, and actors with different roles and interests.

This chapter sets forth to analyse how to manage this myriad of projects. Two ways of bringing several projects into a meaningful context will be presented. In the first way, a plurality of simultaneous development initiatives is organized in portfolios based on their mutual interdependencies. Four approaches to prioritizing projects in a portfolio will be discussed.

In the second way, a development program is formulated in which a strategic effort should be implemented by means of a number of different projects.

The last section will focus on company development under unpredictable and complex conditions, and we will present a framework for Agile company development.
