Abstract

Provides an analysis of the role of “external” or non‐executive directors and their relationship with executive entrepreneurs in small but entrepreneurial (growing) companies, focusing on their influence on executive learning. We provide qualitative analysis of research based on 45 face‐to‐face interviews. Despite the importance given to individual executive and organisational learning in large companies, comparatively little literature exists on executive entrepreneurial learning in small companies. The factors that can affect such learning are discussed with emphasis on the role played by external directors who, it is argued, are likely to be appointed in such companies due to the need for additional expertise and knowledge in a rapidly changing environment.

Abstract

The size, characteristics and structure of boards of directors have been claimed to be an important influence on the performance of large firms, but have been less examined in small firms. For larger firms the role of boards acts more as a substitute for the development of internal staff and management skills, indicating that for large firms directors chiefly support the control role of CEOs. The importance of seeing boards, external consultants and internal management skills as substitutes is demonstrated, and is shown to have a non‐linear relation with firm size. However, a key finding of the paper is that there is little evidence of a strong association of board size, board qualifications, or board structure with firm performance, measured by profitability, employment growth or propensity to innovate.

Abstract

Purpose

Given the huge investment and complexity of information technology, it is imperative that boards of directors fully play their important role in promoting firms' IT success. This study aims to investigate the effects of boards of directors' external ties on firms' IT success from the perspective of resource dependence theory.

Design/methodology/approach

According to the method of the matched sample comparison group, a total of 576 samples of listed enterprises in three periods were obtained.

Findings

Results show that both boards' political ties and boards' business ties have a positive impact on firms' IT success. Environmental uncertainty and the institutional environment play different roles in the relationships between two types of external ties and firms' IT success. Specifically, the results show that the institutional environment can regulate the influence of the political association of directors on firms' IT success negatively. In addition, environmental uncertainty regulates the influence of directors' political association on firms' IT success negatively, as well as the influence of directors' commercial association with firms' IT success.

Research limitations/implications

The external ties were measured by cross-sectional data. And the current study focused on two fundamental types of external ties.

Originality/value

Boards' external ties are studied from both political and business perspectives, and the effects of these two types of external ties on firms' IT success are compared. Additionally, the moderating effects of the institutional environment (macro level) and environmental uncertainty (micro level) in these relationships are investigated.

Abstract

This paper examines the role of trust in the process of learning and acquisition of knowledge by high technology entrepreneurs in their relationship with external directors. It examines the literature on organisational learning which showed the importance of social agency and trust as necessary elements of learning and knowledge management. In particular it identified dimensions linked to trust in competence of external advisers, situations of crisis and the necessity of trust but also the development of trust fostered by group identification. The paper also examines the literature on external directors to show that as open systems they present an appropriate case for investigating the dimensions of trust pertaining to knowledge and learning. The overall findings are that trust and relationships have an impact on the process of learning. In particular it was found that external directors have competence which brings value added benefits to growing small firms. It was also found that trust in situations of crisis was required. Finally, the long‐term involvement and the development of relationships between external directors and entrepreneurs fostered group values and trust based identification.

Abstract

Purpose

The purpose of this paper is to examine in greater depth the concept of “board capital”, which the authors consider to be a bundle of three types of capital, and believe to be a clear antecedent of the board’s ability to perform its roles, which have positive consequences for the firm’s performance.

Design/methodology/approach

Through 83 firms listed on The Madrid Stock Exchange during the period 2005-2010, the authors test empirically the relationships between different dimensions of board capital and firm performance, and specially how internal social capital moderates the relationships between board human capital and external social capital with firm performance.

Findings

The results show that certain characteristics of human capital (average board tenure) and external social capital (directors’ interlocks) are positively related to the firm performance. The empirical findings also indicate that the internal social capital, measured by board density, is positively related to the firm performance and moderates these above relationships, increasing the potential of the resources contributed by the board members and influencing to a large extent on a firm’s performance.

Practical implications

The results of the investigation will help both executives and scholar in two ways. First, they will assist firms when they have to select board members, as they can now understand how the resources that board members bring with them can affect the firm performance. To be more effective, boards need to have members that have experience as firm’s directors, external connections to other boards and many internal ties among them. Second, in this context, internal social capital is especially relevant, so the firms should look for possible ways of encouraging internal ties between directors. In this paper, the authors have opted for study the participation of directors in committees.

Originality/value

The authors propose that these three types of capital (human, external and internal social capital) need to be synergistically combined to create a group of directors with access to a complete set of skills, knowledge and connections, but which can still work as a compact social group when making decisions.

Abstract

Purpose

The purpose of this paper is to examine the moderating effect of media pressure on external directors in relation to disclosure of information on corporate social responsibility (CSR).

Design/methodology/approach

The paper adopts a multilevel approach, integrating the institutional, organisational and individual levels of analysis in a whole model that explains corporate transparency. The paper uses a sample composed of 98 non-financial listed Spanish companies for the period 2004-2010,

Findings

The results show heterogeneity between external board members. Proprietary directors, representing shareholders, tend to promote adoption of the Global Reporting Initiative guidelines in order to increase value for shareholders. On the contrary, independent directors are risk adverse in relation to the effect that CSR information disclosure could have on their professional reputations.

Research limitations/implications

The sample could be improved, including companies from different countries and more years for the analysis, since the period studied comprises a particular economic setting (2008-2010), a global financial crisis.

Practical implications

Although these results from the Spanish context, the authors recommend that regulatory bodies incorporate provisions into good governance codes that guarantee the existence of quality and comparable CSR information that favours stakeholders’ decision taking.

Originality/value

The image that society has about a company comes from the opinions created from the mass media. The arguments proposed by agenda-setting theory can be managed by companies as a strategic mechanism to respond to society expectations. At present, two of the most studied aspects are the ethical and sustainable behaviours of organisations. These aspects are related to the characteristics of boards of directors, especially to external directors. Independent directors may disagree with disclosing information about CSR practices because they fear that this information would affect their professional reputations, since they are not specialised in these topics. However, proprietary directors favour the disclosure of this information in an attempt to reduce the cost of capital and risk perceived by investors, especially in more sustainable companies.

Abstract

Purpose

This paper aims to investigate the association between the composition of boards of directors and the choice of external auditor among companies listed on the Kuwait Stock Exchange (KSE) in 2013.

Design/methodology/approach

Consistent with prior research, audit quality is represented by two proxies, namely, a Big 4 and Non-Big 4 audit firm. Independence, diversity, interlocks, size and role duality are used as proxies for board composition. To accommodate the dichotomous dependent variable (auditor choice), a logistic regression model is used to test the hypothesized associations between board composition and auditor choice.

Findings

After controlling for firm-specific characteristics, results show that independence, diversity and size are statistically significant and increase the likelihood that a KSE-listed company selects a high-quality (Big 4) audit firm. Role duality is also statistically significantly but decreases the likelihood of choosing a Big 4 audit firm.

Practical/implications

This research has implications for regulators, shareholders, boards and academics. The paper underlines the importance of the composition of the board in increasing the likelihood of hiring a high-quality audit firm. Regulators can draw upon these results when assessing the effectiveness of corporate governance mechanisms.

Originality/value

This paper is among the first to study the association between auditor choice and board composition using data from the frontier market of Kuwait, thus responding to the call for empirical research into the issue in less-developed markets. Overall, it sheds light on the effectiveness of board composition and provides empirical evidence that it is an important element in the choice of auditors. The findings indicate that board composition may be a mechanism that can promote demand for high audit quality.

Abstract

In a review of the literature, supported by six case studies, executive development for senior managers in public and private organisations is explored in depth. The study looks at the roles and responsibilities of the chairman, CEO, executive and non‐executive directors, the required capabilities to achieve successful performance, and the related executive development activity implemented to support these. Methods of delivery, development needs analysis and evaluation are explored in case organisations to ascertain current practice. A detailed review of the leadership and governance literatures is included to highlight the breadth of knowledge required at director level. Key findings of the study include the importance of focusing executive development on capability enhancement, to ensure that it is supporting organisational priorities, and on its thorough customisation to the corporate context. Deficiencies in current corporate practice are also identified.

Abstract

Purpose

The aim of this paper is to provide evidence of the relationship between the governance structure of universities and the universities' knowledge transfer (KT) performance outcomes measured in terms of university spin-off firms university spin-offs (USOs).

Design/methodology/approach

The universities' board of directors has been analyzed under three profiles: the incidence of internal directors belonging to the STEM (Science, Technology, Engineering and Mathematics) faculties, the incidence of women directors and the incidence of external directors.

Findings

The findings provide evidence of a significant and positive association, for southern Italian state universities, of the presence of university STEM directors and the establishment of university spin-offs (USOs).

Originality/value

The article is original as, to the best of the authors’ knowledge, no study, except for the paper by Meoli et al. (2019), examined the governance of universities in relation to the establishment of academic spin-offs.
