Abstract

Indian Companies Act (2013) and revised clause 49 of Securities and Exchange Board of India (SEBI) provides for a major overhaul of corporate governance norms to be adopted by firms in India. Some of the key provisions of the act pertain to board subcommittees. Given this background, the chapter seeks to analyze the role of overall board composition and board subcommittees (audit, nomination and remuneration and risk management committee) on firm performance. In addition, the relationship between ownership and firm performance is analyzed. The study documents that large listed companies in India that have constituted a nomination and remuneration committee have had positive influence on firm performance as measured by Tobin’s Q (TQ). Board subcommittees’ (i.e., audit, nomination and remuneration and risk management committee) independence is positively associated with firm performance as measured by TQ. Overall, the board size is positively associated with firm performance. However, in the presence of a nomination and remuneration committee, board size is negatively associated with firm performance. This study offers insights for policymakers interested in analyzing corporate governance practices in terms of board subcommittees as evidenced from a developing economy such as India.

Abstract

The aim of the study is to examine the influence of remuneration committee (RC) characteristics, namely separation, size, independence, meetings, and female directors, on firm performance (FP) by using return on assets (ROA), return on equity (ROE) and earnings per shares (EPS). The study covers all firms being listed in Bahrain Bourse for two years which are 2020 and 2021. The results of the study show that having more directors in RC would significantly increase firm performance “ROE and EPS.” Further, having more females in RC would significantly increase firm performance “ROA.” In addition, having separate RC would significantly decrease firm performance “ROA and EPS.” Moreover, the independence of directors in RC and its frequent meetings has no significant impact on the firm’s performance. The results show that there is a need to re-evaluate the role of the RC and strengthen its effectiveness, as some of the variables examined by this study have an insignificant impact on a firm’s performance. Further, there is a need to allocate additional efforts and policies in developing corporate governance and RCs as well.

Abstract

Recent accounting literature and Agency theory have predicted that corporate governance assists the convergence of interests between shareholders and managers, and thus enhances the quality of financial reporting. This chapter discusses some of the empirical studies on corporate governance in Saudi Arabia; it also elaborates on the corporate governance regulations introduced by Capital Market Authority in Saudi Arabia. Studies cover various subjects that interact with corporate governance, such as earnings management, corporate social responsibility disclosure, ownership structure, environmental disclosure and voluntary disclosure in annual reports of Saudi's listed firms. It also discusses the effectiveness and determinants of corporate governance structures, such as the board of directors, audit committee and other sub-committees. Results were generally in line with previous research from the developed countries, but sometimes there are contradictions, and these results have been discussed and explained, and implications to regulators and investors are drawn where possible.

Abstract

Purpose: The purpose of this chapter is to establish the sustainability reporting practices of FTSE 100 companies using integrated reporting (IR), corporate social responsibility (CSR) and corporate governance (CG) as proxies. Our study has adopted a holistic approach by combining dimensions of each factor in one variable.

Design/Methodological Approach: The study data cover all FTSE 100 companies over five years, thereby generating 505 company-year observations for each variable of the study. Authors have collected the data from Environmental, Social and Governance (ESG) reports filed with Thomson Reuters and International Integrated Reporting Council (IIRC).

Findings: Results indicate the practice of sustainability reporting in FTSE 100 companies both per variables and dimensions levels. It shows, for example, 89% of the companies reported on their charitable donations. The study also found that 79% of the FTSE 100 companies reported on their sustainability committees whilst 86% and 85% reported on their emission reduction and waste reduction policies, respectively. Results show that the CSR impact is higher than CG regarding IR adoption. The Logistic Model manages to explain a high percentage of IR adoption while controlling for other misspecification issues such as multicollinearity.

Practical Implication: The study highlights practice of substantiality reporting for public shareholding companies listed on FTSE 100 Index along with interaction among proxies. These will be of interest to companies not only in the FTSE 100 Index but also those outside. Companies can rely on these factors to strengthen their governance, social responsibility and reporting policies in consideration of all stakeholders and not just a few. We believe that we shed a quantitative explanation on IR adoption by CSR and CG factors, and we expect an impact on practices following results of our study.

Social Implication: Results have indicated that at least 60% of companies in the FTSE 100 Index have imbedded social responsibility activities, such as charitable giving, waste reduction initiatives, emissions reduction policy and sustainability committees.

Abstract

This chapter describes how governments and regulators could introduce selective de-regulation based on exempting corporations from existing practices when they amend their constitutions to provide superior outcomes for investors and other stakeholders. An example is presented on how a company efficiently raised new equity through constitutional changes that also allowed the regulator to exempt it from the compliance processes and costs of changing auditors. System science is used to argue that the introduction of self-enforcing co-regulation based on outcomes rather than practices could introduce competition for developing the most efficient and effective regulation by both companies and regulators.
