Abstract
This case serves as an introduction to the concept of economic value added (EVA). The student is placed in the position of Valmont's CFO to decide whether EVA can live up to its promise to motivate managers to act like shareholders and ultimately lead them to make value-enhancing decisions that can reverse Valmont's weak earnings and lackluster stock-price performance. The case works best if students are acquainted with the concepts of cost of capital and net present value. The teaching note that is available for registered faculty explains how to incorporate the accompanying six-minute video supplement.

The learning outcome of this paper is to identify and interpret the risks linked to cyber-security and their impact on the organization. Analyze business management regarding cyber-security and information technology (IT) risk management. Evaluate and propose decision-making strategies for IT projects.
Case overview/synopsis
Silver Bank is a financial entity with broad national coverage. Its growth was directly related to its investments in customer service. The entire organization is focused on satisfying its clients’ needs, improving their experience and making them loyal to the company. However, it did not pay enough attention to a threat that, with time, had become more pronounced: cyber-attacks. Its efforts to fight against this threat were only temporary solutions, as gaps in its IT system made it an easy target for criminals until the arrival of Iván Ramírez, who proposes a holistic solution to decrease the probability and severity of these attacks. However, past experiences, ignorance and budget constraints make it a difficult task to convince the bank’s board of directors to implement the proposed solution.

The case can be used as teaching material in upper-level undergraduate and graduate management courses: –undergraduate courses: information technology management, IT project analysis and management – MBA or graduate courses: information technology management, strategic management and security governance.

The Case takes place at the headquarters of Genesee & Wyoming, Inc. (GWI), one of the leading short line railroads in the United States. The Case revolves around three executives - Mortimer B. Fuller III, Chairman and CEO, Mark Hastings, CFO and Treasurer, and Alan Harris, Senior Vice President and Chief Accounting Office - and the dilemma over whether to pursue international expansion.
GWI has generally pursued a strategy of diversification through acquisition. However, there are other approaches to diversification, including international expansion. With increasing deregulation and privatization of railroads around the world, GWI and its competitors must weigh the risks of internationalization with the rewards. GWI fears that a failure to move quickly might result in missed opportunities as competitors acquire railroads around the world.
An opportunity has recently arisen in Australia, where the government is selling Australian National Railway. GWI believes Australia might be a good initial foray into the international market given the similarities of the country and its railroad industry to the United States and its railroad industry. The Case asks the question, “Should GWI enter the bidding?”

Abstract
This case may be taught singly or used as a merger-negotiation exercise with “Daimler-Benz A. G.: Negotiations between Daimler and Chrysler” (UVA-F-1241). Set in February 1998, the case places students in the position of negotiators for the company; their task is to value both firms, assess the potential earnings dilution of a combination, and negotiate a detailed agreement with their counterpart. The case can be used to explore such interesting negotiation issues as determination of a share-exchange ratio, treatment of major stockholders, and structuring a deal. Also, the case and exercise can be used to spark a discussion of acquisition in comparison with strategic alliance, or other less formal models of combination.
