Abstract

Evidence suggests that the demand for outdoor recreation by visitors from overseas countries is increasing in the USA and is likely to continue in the near future. To offer international tourists opportunities for quality experience, it is important to examine and understand the travel behaviour of international visitors to national parks and natural areas. Reports on a study of Australian visitors to national parks and natural areas with respect to selected demographic characteristics, motivations and information sources used in planning their trips. The findings of this study may be used to generate appropriate international market strategies for promoting tourism in national parks and natural areas in the USA.

Abstract

This paper explores route‐choice patterns among motorists on a scenic road in south‐western Norway. Factor analysis is used to identify the characteristics of the types of motorists who seek particular benefits when they choose to travel along this specific route. Five factors were found: 1) experiencing landscapes and attractions; 2) outdoor recreation; 3) off the beaten track; 4) a suitable road; and 5) a variation of travel experiences. In conclusion, the paper offers an alternative framework of road choice structures.

Abstract

The authors examine the role of national corporate governance characteristics on both the number of deals and the total value of acquisitions in 28 European countries between 2008 and 2015. In line with previous studies, our analysis suggests that deal value and number of acquisitions follow a cyclical trend but each with different peaks and troughs throughout the sample period. Likewise, we observe a positive relationship between the level of GDP and the number as well as the total value of acquisitions. Among the three types of corporate governance institutions, namely corporate ethics, accountability, and financial market development (efficiency), the authors find that efficiency and a relatively higher level of corporate ethics within the target country in comparison to the acquirer country are positively related to the value of acquisitions.

Abstract

Extending the proposition that boards of directors influence firms’ mergers and acquisitions (M&As), studies have investigated how board interlocks – network ties formed by directors — may shape M&A processes and outcomes. While board interlocks and M&As are two streams of research, each underpinned by voluminous studies, their cross-fertilization has been relatively limited. In this chapter, the authors take stock of prior research investigating the relationship between board interlocks and M&As. Specifically, emphasizing the network features of board interlocks, the authors highlight a connection aspect and a structure aspect of board interlocks in appreciating their effects during pre-acquisition and post-acquisition phases. Based on this framework, the authors then lay out a research agenda that can further bridge board interlocks with M&As. Overall, this chapter endeavors to integrate and expand our knowledge on the acquisition implications of board interlocks.

Abstract

In order to overcome potential limitations in their own experience with a strategic action, firms will often outsource to expert firms that have greater experience with such actions. In this study, the authors contribute to theory on organizational experience and learning by examining an important but understudied type of experience – outsourced experience. The authors show whether, and under what conditions, such experience may be beneficial for focal firms. In the context of acquisitions, the authors find that outsourced acquisition experience brought to acquisition deals by advisors is typically assessed by markets to be detrimental but may become beneficial if such experience is specific to the acquirer’s context. Further, the authors find that acquirers’ own knowledge can signal that they are less reliant on advisor experience, thus mitigating its potentially harmful effects. Theoretical and practical implications of the results are discussed.

Abstract

In the last four years, since Volume I of this Bibliography first appeared, there has been an explosion of literature in all the main functional areas of business. This wealth of material poses problems for the researcher in management studies — and, of course, for the librarian: uncovering what has been written in any one area is not an easy task. This volume aims to help the librarian and the researcher overcome some of the immediate problems of identification of material. It is an annotated bibliography of management, drawing on the wide variety of literature produced by MCB University Press. Over the last four years, MCB University Press has produced an extensive range of books and serial publications covering most of the established and many of the developing areas of management. This volume, in conjunction with Volume I, provides a guide to all the material published so far.

Abstract

Scholars typically view cross-legacy boundary spanners – employees who develop and maintain social relationships with coworkers from both legacy organizations – as the key integrators in mergers and acquisitions (M&As). Organizations even formally appoint employees with cross-legacy responsibilities to support the post-merger integration process. Recent research has started to emphasize, however, how difficult it can be to reap the benefits of a boundary-spanning position. Building and maintaining formal or informal boundary-spanning ties is costly because it requires time, attention, and political savviness. To better understand the perks and pitfalls of cross-legacy boundary-spanning, the authors identify and describe its structural and sociocultural dimensions and explain how they influence cross-legacy boundary-spanning in M&A contexts. The authors argue that the two dimensions can be seen as boundary conditions to the positive relationship between cross-legacy boundary spanning and post-merger integration. This chapter highlights the potential dark side of cross-legacy boundary-spanning and proposes a multi-dimensional model to explain how cross-legacy boundary spanners can avoid the pitfalls and promote the perks of their position in support of successful post-merger integration.

Abstract

Purpose

To investigate CSR initiatives and suggest how these might re‐legitimate, where necessary, current systems of democracy.

Design/methodology/approach

The CSR programmes of the world's largest 60 companies were examined, along with more unusual CSR activities of smaller companies worldwide. Democratic systems were analysed to elicit what deficiencies exist in this form of government. CSR initiatives were classified according to the balance of their benefit to the community against benefit to the company itself. This classification was used to suggest how CSR might fill the democratic gap left by the increasingly global scale of government.

Findings

Too often, CSR comprises companies claiming credit for programmes they would be legally obliged to undertake or which increase company profits, although some CSR is genuinely altruistic. Traditionally, local communities have little say as to what companies put back into their neighbourhood however if competitions, for example “best kept village”, were encouraged involving companies at a local level, CSR would then have greater relevancy. Perhaps global actors, both corporate and governmental, would in this way gain legitimacy.

Research limitations/implications

Approximately 100 companies were used for this study. A larger sample could have been used although this selection covers most of the types of CSR currently being practiced. The findings are only applicable to democratic countries, although this system of government is practiced by the majority of countries worldwide.

Originality/value

This paper proposes a novel classification of CSR, by geographical scope and by type of initiative. New links are made between the concept of CSR and the deficiencies of the democratic system of government.
