Cookson to aquire Enthone-OMI for $503 million

Asarco Incorporated and Cookson Group plc have signed a definitive agreement under which Cookson plc will acquire Enthone-OMI Inc., a subsidiary of Asarco Inc for $503 million.

Cookson Group plc, with headquarters in London, employs over 19,000 people in 35 countries worldwide. The Group is focused on three core markets:

    electronics;

  2. 2.

    ceramics;

  3. 3.

    precious metals.

Enthone-OMI will become part of Cookson's Electronics Division. Specifically, Enthone-OMI will integrate with Polyclad Technologies, which includes Polyclad laminates and Alpha/Dexter chemistry. The integration of Enthon-OMI with Polyclad Technologies offers substantial synergies in sales, marketing and technical activities, while optimizing manufacturing and administrative functions.

Commenting on the acquistion, Richard Fanelli, President and CEO of Enthone-OMI said "Enthone-OMI and Cookson Electronics fit together in an extremely complimentary fashion. There is very limited overlap in terms of technology and products, but highly complimentary technologies in several key areas, particularly in electronics. We think that being part of Cookson Electronics will be very positive for Enthone-OMI. Cookson understands the specialty chemical business and knows what it takes to be successful in today's competitive marketplace."

Enthone-OMI has 14 manufacturing sites, six R&D facilities, sales and distribution centres worldwide and employs 1,300 people.
