Abstract

The three cases (Case A: JSW Steel's Ispat Acquisition: The Opportunity; Case B: JSW Steel's Ispat Acqusition: The Setback & Case C: JSW Steel's Ispat Acquisition: The Turnaround Strategy) describe the business situation leading to acquisition of Ispat by JSW, the acquirer company's failure to realize synergies post-acquisition, and the subsequent turnaround initiatives to salvage the situation. The Case A provides the details of the potential synergies between the two firms. After an elaborate due diligence process, JSW acquired Ispat. However, the JSW team failed to realize synergies anticipated at the time of acquisition. This was a big setback for the company because Ispat was acquired based on certain assumptions on synergies between the two companies. Case B captures the setbacks after Ispat's acquisition, i.e., JSW's failure to realize anticipated synergies.

Abstract

The Government of India established Competition Commission of India (CCI hereafter) through an act promulgated in 2002 to shift regulatory focus from curbing monopolies to promoting competition. The organization became fully functional in 2009 and gained recognition for its proactive stance when it slapped a penalty of Rs. 6400 crore on eleven cement companies for anticompetitive behavior. While CCI's proactive stance increased expectations of stakeholders and of the general public at large, it also became apparent that going forward the organization would need enormous resources and a clear identification of priority areas so as to emerge as an effective regulator. With this objective, the organization invited a team of professors from the Indian Institute of Management, Ahmedabad, India to help them with formulating a vision and mission statement. This case describes the process of creating a new vision and mission statement for a regulatory body.

Abstract

The case describes the first four years of Dhruva, a tax advisory firm set up by Dinesh Kanabar, ex-Deputy CEO of KPMG. Dinesh and other founding partners had worked with the Big-4 firms and were familiar with some of the tensions in the overall ecosystem of Professional Services Firms. Dinesh wanted to build a distinctive professional service firm driven by values of cooperation, high quality work, transparency and stewardship. Very early in its journey, Dhruva's founding team decided that they would use organizational culture as the North Star for guiding decisions related to growth, internal organization design and even admission of new members including Partners. The first four years turned out to be highly successful for the firm. Since inception, it was ranked as Tier-1 firm in the tax advisory space. It was apparent that the firm had succeeded in building a model of alternate organizational paradigm for professional service firms. The next challenge was to test the scalability of this model as the firm embarked on an ambitious growth journey.

Abstract

The three cases (Case A: JSW Steel's Ispat Acquisition: The Opportunity; Case B: JSW Steel's Ispat Acqusition: The Setback & Case C: JSW Steel's Ispat Acquisition: The Turnaround Strategy) describe the business situation leading to acquisition of Ispat by JSW, the acquirer company's failure to realize synergies post-acquisition, and the subsequent turnaround initiatives to salvage the situation. In 2010, JSW Steel, a 14 mtpa Indian steel company acquired Ispat Steel with annual production capacity of 3 mtpa. The acquisition was part of JSW's multipronged strategy to realize its aspiration of being a 40 mtpa firm. At the time of acquisition, Ispat had huge debts, a long pipeline of unfinished projects, high production costs and unpredictable cash flows. Its main plant, Dolvi was shutdown for 45 days. However, the plant also had numerous advantages. It was located near the seashore and was technologically very advanced. Case A describes the events leading to acquisition of Ispat by JSW. It captures the facts, opinions and inferences around the acquisition decision, which were used as inputs in the due diligence process to assess synergies between JSW and Ispat. The case describes the economic, competitive, and industry factors prevailing in 2010 when JSW was thinking of acquiring Ispat.

The Case A details the potential synergies that were identified during due diligence process while the Case B details the setbacks which did not allow JSW to realize the anticipated synergies. Nevertheless, not deterred by the setback, JSW salvaged the situation by undertaking a massive turnaround program aimed at plugging strategic, operational and organizational gaps. Concurrently, several initiatives were also taken to integrate the processes and workforce of the two organizations. Eventually the JSW team succeeded in turning around Ispat and merged it with the parent group. Case C provides a rich description of the turnaround and integration initiatives by JSW.

Study level/applicability

This case can be used in a core course in production and operation management; process management and courses like design and planning of operations at the graduate level, preferably during or after the basic operations module of the course. The case focuses on the use of a process analysis that decomposes the problem into a number of easily solvable sub-problems, each of which could be distinctly analyzed and solved. The case can also be effectively utilized in elective courses on process reengineering, concurrent engineering/management, process management, capacity planning, etc. Ideally, this case can be discussed for 75 to 90 minutes.

Case overview

The case describes the situation facing the operations supervisor, Sunil Mehta, of A-CAT Corp. in Vidarbha Region, Maharashtra, India. A-CAT Corp. was a mid-sized manufacturer and distributor of domestic electrical appliances, largely catering to the price-sensitive rural population. The firm operated two medium-sized facilities in one of the remote districts in Vidarbha, and these manufacturing units had been in operation since 1986. A-CAT manufactured a relatively wide range of electrical appliances for household use. Typical products from its stable included TV signal boosters, transformers, FM radio kits, electronic ballasts, battery chargers, voltage regulators, etc. The voltage regulators manufactured by A-CAT were used for many different purposes, although the focus was on its flagship product, VR500. The issue at hand for Sunil Mehta, operations supervisor at A-CAT, was to get data and act right; more often than not, this boiled down to critical information which everyone in the firm kept collecting but were too busy to use and utilize. The challenge was to select the right kind of data needed from the data-deluge that the company had in their databases. The eluding objective was to use it for the betterment of the firm. The challenge was to utilize the data that the workers and other operators kept logging in and, in the process of doing so, came up with some solutions to the problems faced on the operational front.

Expected learning outcomes

The case teaching and learning objectives are as following: to grasp the basics of process and process parameters; to understand the interrelationship between capacity, utilization, efficiency and productivity of a process; and to carry out process capacity analysis in assessing the performance of the firm on different metric drivers. The case also provides a very good foundation for understanding process parameters in a simple and lucid manner. To make right computations and not to use the terms and terminology in “cook book” or “strait jacketed” manner, students need to realize the parameters and their understanding changes from situation to situation.

Learning outcomes

The learning outcomes of this paper are as follows: to understand the characteristics of a natural monopoly such as telecommunications sector and impact of “network externality”; to understand the role of a regulator in maintaining a balance between competition and consolidation of telecom sector; to understand the importance of first-mover advantage in telecom sector and coping mechanism of late entrants; to understand different pricing mechanisms of “natural monopolies” that can be adopted to remain profitable; to understand social cost of price floor in telecommunications sector.

Case overview/synopsis

Indian telecom sector is going through a downturn where most of the private sector telecom service providers have reported huge losses, failed to pay adjusted gross revenue (AGR) dues and reported decline in average revenue per user over a period of 3–4 years. Fierce competition in the sector leads to rock bottom calling and data charges. Bharti Airtel benefitted for being the first mover in terms of market share but with entry of JIO in 2016, the service providers have entered a price war. As a result, service providers have requested Mr. R.S. Sharma, Chairman of Telecom Regulatory Authority of India (TRAI) to come up with a floor on calling charges and requested the government for a bailout package. Currently, Mr. R.S. Sharma, Chairman TRAI is facing a dilemma whether to regulate and come up with a floor on calling and data charges or leave the sector for market correction. Mr. Sharma can also recommend to amend the definition of AGR. Telecommunications sector exhibit the characteristics of a natural monopoly where there is a need of a regulator to introduce “competition for the sector” and “competition in the sector.” In India, TRAI is the regulatory body responsible for introducing “competition for the sector” by auction and “competition in the sector” by deregulating calling and data charges, maintaining at least three private and one public service provider, decreasing “switching cost” of the customers, etc. The case deals with the issues of why there is a need of a regulator in natural monopolies, how different chairmen of TRAI have successfully introduced competition “for” and “in” the sector, and how Indian telecom sector went through a downturn? What should TRAI do to maintain competition in the sector?

Complexity academic level

The case deals with the issue of managing telecommunications sector (a natural monopoly) by a regulator in the context of India. The regulator had successfully introduced “competition in the sector” and “competition for the sector.” This led to sharp increase in subscriber base and decrease in calling and data charges. Presently, fierce competition in the sector has left the service providers cash crunched. The case deals with the dilemma faced by the chairman of the regulatory body in India on whether the regulator should come up with a price floor or market correction. Abstract

The Chairman of the 60-year old company Texica, Ashutosh Verma approached Dr. Asim Vakil who had wide experience in consulting turnaround activities in declining organizations. The organization had undergone a few rounds of downsizing and was also reporting about 15–20% attrition in the organization. Vakil was requested to redesign the job description and the appraisal system of the employees. He found several gaps in the existing process. The human resource processes were not well-structured and the key performance indicators of the employees were not communicated to them properly. So, the team decided to deep-dive into the activity based job allocation to different employees and found interesting results. They decided to discuss their results with the Chairman. The Chairman asked the team to discuss the results with the top management of the organization. The meeting was aimed at identifying not only the operational issues in the organization but also the attitudinal problems in the organization.
