Abstract
Purpose
The purpose of this study is to extend the Fraud Diamond Theory to celebrity Special Purpose Acquisition Companies (SPACs) and investigate their post-Initial Public Offering (IPO) stock market performance.
Design/methodology/approach
After obtaining a sample of celebrity SPACs from the Spacresearch.com database, fraud risk characteristics were obtained from Lexis Nexus searches. Buy and hold abnormal returns were calculated for celebrity SPACs versus a small-cap equity benchmark for time intervals after IPO, and multiple regression analysis was performed to examine the relationship between fraud risk features and post-IPO returns.
Findings
Celebrity SPACs exhibit Fraud Diamond characteristics and significantly underperform a small-cap stock portfolio on a risk-adjusted basis after IPO.
Research limitations/implications
This study only examines celebrity SPACs that conducted IPOs on the NYSE and NASDAQ/AMEX and does not include those that are traded on the Over the Counter Bulletin Board (OTCBB).
Practical implications
Celebrity endorsement of SPAC vehicles attracts investors who may not be properly informed regarding the risk characteristics of SPACs. Accordingly, investors should be warned that celebrity SPACs underperform a small-cap equity portfolio and exhibit significant elements of fraud risk.
Social implications
The use of celebrity endorsement as a marketing device to attract investment in SPACs has regulatory implications.
Originality/value
To the best of the authors’ knowledge, this paper is the first to examine the fraud risk characteristics and post-IPO performance of celebrity SPACs.

The case study is designed to help students understand how the “growth at all costs” attitude can lead to compromised corporate governance in a start-up leading to disastrous implications for all the stakeholders. This case study aims to make students understand the components of the fraud triangle, the impact of financial fraud on various stakeholders, the role of venture capitalist (VC) investors and the importance of good corporate governance in start-ups. The case study presents an excellent opportunity for students to discuss the consequences of ignoring good governance in the pursuit of growth in a start-up. After analyzing the case study, the students shall be able to explain the concept of the fraud triangle and to be able to identify the motivation, opportunity and rationalization of financial irregularities in a start-up; analyze the impact of financial irregularities on various stakeholders; comprehend the business model of VCs and evaluate its influence on VC-funded start-ups; and appraise the importance of good corporate governance in start-ups.
Case overview/synopsis
The case study revolves around the confession of financial irregularities made by one of the cofounders of GoMechanic, a start-up headquartered in Gurugram, India. On January 18, 2023, Amit Bhasin confessed to financial irregularities in the company’s financial statements, leading to laying off 70% of the workforce of the company. GoMechanic had earlier raised close to US$62m [1] from maverick global investors including Sequoia Capital, Tiger Global, Orios Venture Partners and Chiratae Ventures, and was negotiating to raise Series D financing from the Japanese multinational SoftBank with aspirations to be a unicorn (start-up with a valuation of over $1bn). The confession led to a debate about the consequences of the “growth at all cost” culture being followed by start-ups as well as VCs. GoMechanic was not an isolated instance of a lack of governance in the start-ups. The confession had consequences not only for the GoMechanic but for the entire start-up ecosystem of India, which was the third largest in the world. Bhasin stated that the founders take full responsibility for the situation, and they were working on a plan which was most viable under the circumstances. However, it was not going to be easy to regain the confidence of the investors.

The case study is best suited for senior undergraduate- and graduate-level business school students and in executive education programs in courses such as corporate governance and ethics, private equity and entrepreneurial finance.

Abstract
Purpose
In this study, the deployment of an integrated Quality Function Deployment (QFD) decision framework is presented to help cities design targeted strategies to become “smart”. Arguably smart cities leverage advanced technologies to enhance their smartness to improve everyday urban life. To this end, a QFD – Analytic Hierarchy Process – Analytic Network Process (QFD-AHP-ANP) framework is proposed to deliver guidance for selecting the appropriate mix of smart technologies based on the specific smart needs of each city.
Design/methodology/approach
The AHP and ANP methods are incorporated into QFD to enhance its methodological robustness in formulating the decision problem. AHP accurately captures and translates the “Voice of the Experts” into prioritized “Smart City” dimensions, while establishing inter-relationships between these dimensions and “Smart City Technologies”. Meanwhile, ANP explores tradeoffs among the technologies, enabling well-informed decisions. The framework’s effectiveness is evaluated through an illustrative application in the city of Thessaloniki.
Findings
Applying the framework to this real-world context confirms its practicality and utility, demonstrating its ability to particularize local, social, political, environmental and economic trends through the resulting mix of technologies in smart urban development strategies.
Originality/value
The importance of this study lies in several aspects. Firstly, it introduces a novel QFD decision framework tailored for smart city strategic planning. Secondly, it contributes to the operationalization of the smart city concept by providing guidance for cities to effectively adopt smart technologies. Finally, this study represents a new field of application for QFD, expanding its scope beyond its traditional domains.
