Abstract

This case presents the history and recent governance challenges of Carvajal, S.A., a Colombia-based, family-owned, billion-dollar-plus holding company that had offered printing-related (e.g., Yellow Pages, notebooks) and other products and services across and beyond South America for more than a century. Specifically, the case details the company’s state of affairs in early 2011, a time by which Carvajal’s flagship businesses had matured rapidly with the emergence of digital technology and diminished demand for paper/print-based products. Though profits and growth remained positive, Carvajal’s leaders knew that upholding the business’s legacy of returns, dividends for all family members, and extensive philanthropy would take significant strategy and execution.

Compounding the strategy issues, Carvajal faced these market challenges with new leadership: the first non-family CEO since the company’s inception. Well-established Colombian executive Ricardo Obregon had been hired in 2008 over two family candidates to lead the business. Obregon was to oversee a complex governance network that included a holding company with seven operating companies, their management and respective boards, a family council, and 280 members (including spouses) of a shareholding family in its sixth generation. Carvajal’s business and family leaders had to face market issues and decisions that included the possibility of taking public the operating companies and/or the holding company while maintaining the business’s long traditions of unity, respect, strong ethics, and philanthropy. That meant optimizing several crucial relationships: between the family and the new CEO; between the family and the board; between the operating companies and the holding company; and between members of the large Carvajal family, many of whom now resided outside of Colombia and Latin America.

Understand general and specific challenges associated with carrying on a longstanding family business facing multiple market challenges; explore the process of engaging a complex family-business governance network to handle business challenges while maintaining family values; consider the effects of culture on a multi-generation family business.

Abstract

HSBC (The Hong Kong and Shanghai Banking Corporation Limited) Holdings Plc. is a part of various trade finance consortia which aimed to digitise the traditional paper-based trade finance process. It had successfully executed multiple trade finance pilots using a blockchain based platform Voltron and was launching its Contour blockchain trade finance platform as a service to its clients. The trade finance market was estimated to be USD 18 trillion on an annual basis and HSBC had a 12% share in the trade finance transactions worldwide. This case revolves around the challenges facing banks/consortia while porting the traditional trade finance process to the blockchain based system. The crux is how the banks form the consortia, implement blockchain and facilitate trading globally given that it is a new technology and will require bringing all the stakeholders involved in the trade finance value chain to the blockchain based platform. HSBC is facing some decision questions on the formation, governance and management of the consortium, on the interoperability between consortia and on how to price its services to its customers.

Case overview

The case examines how Gabriel, a Danish textile company, transformed itself from being a traditional textile manufacturer to becoming an innovative virtual servi-manufacturer. The case covers the main milestones in Gabriel's recent history, explores the main reasons for the transformation that started in the late 1990s and studies how this transformation towards becoming a virtual servi-manufacturer was dealt with. The case closes with the sections examining the role of innovation activities in the newly transformed company.

Expected learning outcomes

The case is expected to build an understanding of the organisational and operational implications of the journey towards the virtual production company. While the case is broad in its scope, it provides an opportunity to go into details on a number of interrelated topics: operations strategy; global production networks; communication and coordination; interdependencies; and outsourcing and offshoring. The story of Gabriel illustrates a highly successful globalization journey and its underlying dynamics. The case highlights how the operations configuration and the relationships between key parties do not stay constant over time. They rather shift and adapt to internal and external stimuli. The case explores these stimuli in retrospect and describes how the company attempts to reconcile market requirements with its operations configurations and capabilities.

The learning outcomes are as follows: to understand and examine the strategies that help platforms fight competition and manage networks; to analyse the role of platform governance in the management of the networks and partners’ trust; and to evaluate the strategic risks of disintermediation and multi-homing firms face while trying to sustain profits and capture value.

Case overview/synopsis

The case presents the dilemma faced by Deepinder Goyal, the young founder and CEO of Zomato in formulating the growth strategy for its food delivery platform, struggling to retain its market leadership position amid intensifying competition and other challenges during the COVID-19 pandemic. Zomato has become a public company with an IPO announced in mid of July 2021. Therefore, there is growing expectation for profitability among its shareholders and investors considering tailwinds of COVID-19 crisis, which have given the push towards adoption of food delivery among the customers. This has also resulted in increased competition in the industry. On other hand, there is growing dissatisfaction among its restaurant partners who have been hit hard by COVID-19 and struggling for survival. CEO Deepinder has to find how he will ensure the long-term growth for Zomato to tap the growing food delivery market in India and regain its restaurant partner’s trust.

Complexity Academic Level

The case is intended for post-graduate courses (MBA, PGDM) on digital business strategy or strategic management of technology-oriented businesses. The case can be used to understand the nature of competition and different strategies for platform-based businesses in the digital world. The case can also be used to study the role governance can play in efficient value creation and capture on the platform by the partner entities. Finally, the case also highlights how are platform businesses are coping with the Covid challenge. Rendering digital services have taken centerstage in the current ICT for development discourse. E-Government services are mostly under this discourse with the aim to provide citizen centric services in the public domain. Business and development organizations alike are also investing in developing their own digital infrastructure for rendering services to its stakeholders. This case describes scenario in which a cooperative organization wishes to use digital infrastructure and provide digital services to its farmer members. The cooperative continued investing in ICT since the last couple of decades and constantly upgraded it to ease the transaction and bring efficiency and reduce information asymmetry. This had greatly benefitted the members. However, the cooperative is aware that its communication network built on the wireless medium has its own limitations in introducing new services and integrating its databases and applications. The cooperative took note of “Digital India (DI)” initiatives to provide digital services to rural areas and build an ecosystem to empower the citizens in its governance set up. This DI policy has implicit provisions of better networking protocols with improved bandwidth. The organization has a dilemma to continue with investing its own resources or explore possibility of piggybacking on the DI initiative. The cooperative wished to examine the total cost of ownership in either case and assess the feasibility of converging with the infrastructure created by the government.

Case synopsis

The Government Information Technology Policies are increasingly favouring citizens and in favour of shared infrastructure and services. It is worth the examination to evaluate strategies to deploy IT infrastructure and services with optimized cost and better returns in an enterprise. This is far more important for a social enterprise like AMALSAD cooperative (user-owned firm) that has deployed its own IT infrastructure and ITeS. AMALSAD cooperative deployed its IT assets long back and in the meanwhile, the Government policy is in favour of providing services over the internet.

Leaning objectives

The case serves to help students to understand the theoretical concept of Enterprise information systems infrastructure and services. It brings to the students understanding: the drivers of IT infrastructure to provide digital services; challenges that would make the social enterprise (in this case user-owned firm) to understand the opportunities and challenges of deploying the right digital infrastructure and get services on demand. The case presents the scenarios for the students to deliberate and find answers to the right approach for estimating the total cost of ownership (TCO).

Social implications

The case situation presents a scenario for digital government services. Most of the customer-facing enterprises including social enterprises are also providing digital services. It is important that such services converge at an optimized TCO.

Case overview

Mr Badr Jafar, co-founder of the Pearl Initiative (PI), is the chief protagonist in this case study set in the Gulf Arab states. He launched this company at the United Nations in September 2010, and the launch was timely, as business leaders were looking to rebuild the global economy following the economic downturn. The Initiative was originally the idea of a number of leading company owners in the countries of the Gulf Cooperation Council (GCC). The company vision is to improve business practices for the benefit of business and society in the future, but the context is one of a highly competitive and secretive business environment. The mission of the PI is to improve private sector corporate culture to one of transparency and accountability. The PI approaches that mission through building a network of business leaders in the GCC, particularly those from the family-owned companies in the private sector. A biography of the founder and the background to the founding of the PI is given, followed by a rationale of the company structure. The potential influence of the network of companies and leaders on the socio-business climate is considered. The specific activities are outlined within the strategy of the PI to address four key business areas: anti-bribery and corruption; corporate governance; corporate reporting; and women in leadership The PI focuses on raising awareness about the potential benefits of social entrepreneurship for business and society. To what extent this relatively new model of business can be successful in the context of the GCC is a case dilemma. Key issues: There are two main issues raised in the case study: the rationale for the relatively new business model of social entrepreneurship and the extent to which PI can modify the past and current GCC business environment by addressing the four business areas.

Expected learning outcomes

Students will be able to: analyze the business case for social entrepreneurship and explain the contribution of PI activities for changing the business environment.

Case overview/synopsis

Digi Telecommunications (Digi) has been publishing annual sustainability reporting in line with Global Reporting Initiatives since 2009. Albern Murty, Chief Executive Officer (CEO) of Digi, the largest player in the mobile telecommunications industry in Malaysia by the number of subscribers, decided to establish a responsible business brand known as Yellow Heart in 2018 to better serve their stakeholders demand. There was a low stakeholder understanding of Digi’s sustainability efforts and societal impacts. Digi’s Sustainability department aspired to make Yellow Heart the best industry practice for continuous improvements by making Responsible Business commitment one of the main pillars of the company’s strategy and vision. Yellow Heart was linked to Sustainable Development Goals (SDG)10 on reducing inequalities by focusing on Digital Inclusion and Resilience to increase safe access opportunities, provide marginalized communities with opportunities to pursue interests in digital learning pathways and create a more sustainable digital future for all. The case study illustrates the sustainability management at Digi and the planned migration from sustainability reporting to integrated reporting to build trust in the business with all the stakeholders. The case dilemma involves the challenges that Philip Ling Oon Hun, the Head of the Sustainability, faced in deciding the SDGs to focus on and measuring and reporting their outcomes to contribute to the greater good, not only in pure business terms but also to society at large.

By the end of the case study discussion, it is expected that students will have learned to assess what makes it likely that firms will respond to episodes of stakeholder activism; establish the interplay between nonmarket strategies and corporate governance mechanisms in assessing shareholder activism; explain about the board of directors as a corporate governance mechanism; evaluate the threats of nonmarket dimensions as a strategic response from the board; and understand the impact and increasing power of shareholders over board decisions.

Case overview/synopsis

In April 2019, to pressure Rumo S.A. regarding the duplication of the Itirapina–Cubatão railroad, indigenous peoples from 12 São Paulo villages bought six Rumo shares, which were quoted on Tuesday, April 23, 2019, at around BRL17 each. Duplication of the railroad started in 2011 and affected the lives of the Indians. The company promised to implement more than 100 improvements to the villages, but as of 2019, half of the improvements were at a standstill. After buying enough shares to entitle them to participate in the annual general meeting (AGM) of shareholders, the Indians went to Rumo’s AGM to voice their concerns and show how the villages had been affected. It was the audit committee that needed to discuss and solve the case of the indigenous peoples. What steps would Rumo take next? What was the best thing to do with regard to the claims of the Indians? This case shows the start of corporate activism in Brazil. This case reports the dilemma that Rumo faced with the indigenous activism at the beginning of 2019 because of the expansion of their railroad network across indigenous lands.

Complexity academic level

This case is suited for a class in which the students are exposed to a corporate governance framework and internal and external governance mechanisms. The case can be applied at the graduate and executive levels in relevant courses such as corporate governance, corporate responsibility, strategic management, and the stock market.

This case is based on primary and secondary sources of information. These sources include interviews with senior executives as well as documents provided by Mondragon and Eroski. The interviews were conducted on-site. In addition, the authors researched the literature on both organizations.

Case overview/synopsis

Eroski is the largest of Mondragon Corporation’s coops. Since its founding, Eroski has faced numerous challenges. It has responded to each challenge with out-of-the-box thinking. In response to the pandemic, Eroski become an e-commerce supermarket as well as selectively continuing bricks and mortar stores. As the pandemic is winding down, Eroski is considering how to respond to the “new normal,” which is largely undefined. The question posited at the end of the case is, “Will Eroski be able to hold to its social principles, maintain its unusual governance model and other unusual practices, and survive this latest challenge?”

Complexity academic level

Eroski of Mondragon is a complex and unusual organization. To appreciate the challenges and how they were overcome by its unique business model, a student must have a minimum background in management, corporate finance and marketing. Thus, this case would fit well into a senior or graduate class on strategic human resource management. It is also recommended for the strategy capstone course usually offered during the last year of a business bachelor’s degree (senior level) to ensure that students are introduced to what Paul Adler refers to as an alternative business model. It can also be targeted for an advanced management course or a strategy course at the MBA and executive levels.
