Abstract

Purpose

The purpose of this paper is to use the dynamic capabilities framework to explain the effect of board networks, as a source of intellectual capital, on firm performance. The authors propose that the influence of board interlocks depends on their ability to contribute to strategic decision making. As a result, their effect is subject to the business context in which they occur and the different role of the interconnected directors involved.

Design/methodology/approach

The authors use social network analysis to make board connections and to calculate centrality measures. The authors also identify busy boards to analyze whether their effect differs from centrality. The authors estimate the theoretical model using the Generalized Method of Moments in order to take advantage of the panel database.

Findings

For a sample of Spanish firms from 1999 to 2015, the results show there is no direct significant effect of directorsnetworks on firm performance. However, the authors find a positive and significant influence of intra-industry board connections, particularly when they are established among outsiders.

Research limitations/implications

The Spanish context of the study can limit the generalization of the papers’ results.

Practical implications

The results can be useful both for practitioners – since they can serve as a guide for companies to reformulate their boards in search of the optimal structure-, and when implementing good governance codes – establishing limits for director interlocking.

Originality/value

This study helps to offer a better understanding of how directorsnetworks can add value to the firm depending on the kind of resources they provide (context) and the role of the director who is connected.

Abstract

Representation of women on boards is getting more and more attention these recent years (Hillman, Shropshire, & Cannella, 2007; Nielsen & Huse, 2010), all the more as recent influence by the legislator accelerates the pace of change. Indeed, in France, a new law adopted in January 2011 stated that the proportion of female directors should not be lower than 40% in all major companies.

Most previous research focused on the impact of the presence of women in boards on performance, but there are few studies on female directors' networks. In order to help to better understand the ties at the origin of these networks, we study several characteristics and network ties of female directors of French companies belonging to the SBF 120 index and we compare them with male characteristics. We test the specificity of four types of board of directors' networks: attendance at the same elite educational institutions, use of business networks, civil servants' networks, and interlocking directorates.

Our findings suggest that female directors' networks tend to find their origin in business networks more than men. Conversely, male directors have more board interlocking and are more often graduated from elite schools than women. These results show that female directors' networks have specific origins in comparison with men's ones. The exploration of this specificity could be an asset to better understand the role and influence of female directors' networks in governance.

Abstract

Purpose

This paper aims to explore the effects of director network on open innovation. As an informal institutional arrangement, the director network is an important source for the enterprise to obtain external information, which provide resource basis for open innovation. Chief Executive Officer (CEO) as the top of management team could make short-sighted decisions for personal interests; this paper also investigates the moderating role of CEO short-sightedness between director network and open innovation.

Design/methodology/approach

This paper takes 4,102 Chinese listed companies from 2007 to 2020 as the research sample. By introducing network centrality and structural hole to measure director network and using data mining to extract key words related to CEO short-sightedness from annual reports, this paper constructs several multiple linear regression models to analyze the impact of director network on open innovation and the moderating role of CEO short-sightedness.

Findings

The analysis finds that director network can facilitate corporate open innovation. Enterprises can acquire more external resources in high centrality and structural hole of director network and promote ability for corporate open innovation. The relationship between director network and open innovation is negatively moderated by CEO short-sightedness. When the level of corporate governance and analyst attention is high, the negative effect of CEO short-sightedness on the innovation effect of directorsnetworks is suppressed.

Originality/value

This is the first empirical paper to investigate the promotion effect of director network on open innovation as well as the negative moderating role of CEO short-sightedness. The findings bring new perspectives to the open innovation and enlightenments for practical activities from social relationship aspect.

Abstract

Purpose

Despite the extensive study of director interlocks very little is known about gendered director networks. Boards of directors are primarily male; globally, only 5‐20 per cent of directors are women and change is described as glacially slow. The extent to which women directors are central to the network, or pushed to the margins, is unknown. Using the tools of social network analysis we extract the components of three director networks, a global and two national networks and locate the women directors. The paper aims to examine the persistence of director networks over time to determine whether gender related differences – apart from size – contribute to the apparent resistance to change.

Design/methodology/approach

The paper uses a longitudinal approach, comparing director networks on a global network scale (2004 and 2007 Fortune Global 200) and a national one (2004 and 2007 New Zealand Stock Exchange) with the iconic 1999 Fortune US 1000 dataset. After extracting the largest connected component, the female directors are separated out. From the 2004 and 2007 data director turnover is calculated to determine the stability of the networks.

Findings

Female directors are more likely to be found in the largest connected component of the mixed gender network, indicating that they are not marginalised. Despite high turnover rates, director networks are stable over time which may manifest as resistance to change.

Originality/value

The structure of gendered director networks is unknown and the location of women directors in the network components has not been considered in board diversity research. The results point to an underlying gender equity in all director networks. A new theoretical approach, glass network theory, has implications for boardroom diversity interventions.

Abstract

Purpose

The purpose of this paper is to investigate whether a pattern of interlocking directorates is emerging following reforms in Mexican corporations, and who, if any, are the powerful actors in this network. Drawing on the Bourdieusian notion of social capital, the paper also analyses theoretically the interlocking directorates, networks and powerful actors, and their influences on and potential implications for corporate governance mechanisms.

Design/methodology/approach

The data used in the study consisted of 1,442 internal and external board members of the population of 126 Mexican corporations trading on the Mexican Stock Market as of January 2011. Use of social network analysis (SNA) demonstrates individuals’ links with corporations and allows the production of spatial maps to visualise the network structure of interlocking boards.

Findings

Using the measures of SNA developed by Freeman (1979 and Bonacich (1972), the authors identify the most powerful and influential directors in the network structure of board members in Mexico. Board members with the greatest number of connections occupy central positions in the network. The authors also find a catalogue of corporate governance scandals. The inclusion of independent directors seems to have had no influence in ensuring better corporate governance.

Research limitations/implications

Mapping out the directors’ links might offer excellent opportunities for policy makers to see how many companies a single director represents, how they share boards, and the implications for minority shareholders of sharing boards, and to understand the workloads of directors in carrying out the monitoring tasks expected of them.

Originality/value

This paper makes an important contribution by employing SNA to illustrate interlocking directorates and the positions of powerful and influential actors. Examining networks of directors from a “social capital” point of view also provides an understanding of why the role of independent directors remains toothless in family-dominated corporations.

Abstract

Purpose

The purpose of this study is to examine the importance of human capital and professional networks for women’s and men’s appointment to the boards of directors of public companies. The study provides an in-depth analysis of how human capital and professional networks contribute to women’s as compared with men’s odds of corporate board membership.

Design/methodology/approach

The study analyzes the human capital and professional networks of 494 male and female corporate outside (non-executive) directors appointed between 2005 and 2010 to the boards of US public companies listed in the Standard & Poor’s 500 index. Human capital was measured as director age, education and professional experience (function and role). Professional network variables measured included composition of professional network, network centrality, constraint and cohesion.

Findings

The study’s findings reveal that the characteristics that impact the appointment of women as outside directors to public company boards differ from those of men. Relative to men, certain professions such as government relations and education improve the odds of appointment of women to corporate boards, while age lowers women’s odds. The number of network ties and the degree of network cohesion were also significant in predicting the likelihood of female board appointment to public corporations relative to men’s odds. The final model was able to predict female board membership correctly only in 28 per cent of the cases, while male board membership was predicted in 89 per cent of the cases, suggesting that factors other than human capital and professional networks (e.g. their gender) impact women’s appointment to corporate boards.

Originality/value

To the authors ' knowledge, this study is the first to comprehensively examine the professional network components of female and male directors along with their human capital in the analysis of their prospects for board appointment. The conceptualization of professional networks as well the depth of quantitative analysis of the network components of the study advance the extant literature on the composition of corporate boards.

Abstract

Purpose

Drawing from social capital theory, this study aims to investigate the manifested critical barriers in deriving and implementing gender diversity policies, paying particular attention to the role multiple directorships play in shaping the directors’ behavior and the dynamic of the board of directors. The study comprehends social capital as a multi-dimensional concept and uses combinations of interconnected internal, external, expressive and instrumental networks.

Design/methodology/approach

The study uses a mixed-method approach through which the quantitative approach is supplemented by a qualitative research method to comprehensively examine the development and impact of female directorsnetworks in Australia. To do so, a large data set consisting of 2,527 observations of all Australian firms and data emerged from semi-structured interviews with female directors were brought together and analyzed.

Findings

The findings reveal an inverted U-shaped relationship between the size of women’s directorate networks and firm performance. The study additionally explicates the key moderating factors influencing the optimal number of multiple directorships. The key power-based and psychological well-being-related benefits of the inter- and intra-organizational interactions and “open” directorate networks for individual directors are further discussed. The findings also elucidate the status quo vis-à-vis labyrinth metaphor and excessive numbers of directorships.

Social implications

The study should be of interest to those interested in effective gender diversity management. The findings would assist in enabling tangible outcomes for women through advanced processes and systematic investment in and institutionalization of well-structured, equitable opportunities provided via gender-responsive policies dedicated to the education and training of future female directors.

Originality/value

Calling for social dialogues and discussions on non-financial factors, this study adds to the scarce literature on influential factors related to diversity management policies and practices on the board of directors.

Abstract

In this chapter we investigate the ownership and control of UK firms using contemporary methods from computational graph theory. Specifically, we analyze a ‘small-world’ model of ownership and control. A small-world is a network whose actors are linked by a short chain of acquaintances (short path lengths), but at the same time have a strongly overlapping circle of friends (high clustering). We simulate a set of corporate worlds using an ensemble of random graphs introduced by Chung and Lu (2002a, 2002b). We find that the corporate governance network structures analyzed here are more clustered (‘clubby’) than would be predicted by the random-graph model. Path lengths, though, are generally not shorter than expected. In addition, we investigate the role of financial institutions: potentially important conduits creating connectivity in corporate networks. We find such institutions give rise to systematically different network topologies.

Purpose

The purpose of this paper is to consider the impact of network position of independent directors on the decision-making process of cross-border mergers and acquisitions (CBMAs).

Design/methodology/approach

With 912 CBMAs constructed by 431 Chinese-listed corporations from 2006 to 2015, the authors provide graph-theoretical methods to quantify directorsnetworks and build logistics models of CBMA success and generalized linear model for transaction value.

Findings

The authors find that independent directors in central positions of board networks of CBMA significantly strengthen the possibility of success of CBMA and react more positively to large CBMA. The results reveal that state-owned enterprises reduce the importance of independent directors in central positions in assisting successful CBMA, but strengthen the importance in promoting large CBMA. Specifically, majority shareholders counteract the importance of independent directors in central positions in assisting successful CBMA, but improve the importance in promoting large CBMA.

Originality/value

The findings suggest that independent directors in central positions, which are embedded in sets of board relationships and interactions, lead to efficient external corporate governance as a mechanism to facilitate a Chinese-listed firm’s CBMA decision making.

Purpose

Corporate success depends partially on the quality of knowledge accessible to the executive board. One route of access to such knowledge is the appointment of directors who already hold directorships with prominent other corporate actors. Such director appointments provide interlocks to a corporate knowledge ecosystem (Haunschild and Beckman, 1998). The purpose of this paper is to examine how linkages between companies belonging to different sectors impact firm performance and to examine how linkages created by female directors, as opposed to male directors, shape performance.

Design/methodology/approach

This paper investigates the interlocks created between UK FTSE 350 companies from 2010 to 2018. It draws on network analysis to map the roles that male and female directors play in linking firms with varying sector classifications. The paper provides an examination of the impact of these roles on firm performance, through a panel data regression analysis.

Findings

This paper finds that there is an increase of inter-industry brokers over the period, and that men are still dominant in both the network and creating inter-industry ties amongst companies. However, the role of women in establishing these ties appears to be changing, and women are more important when it comes to create inter-industry ties among key economic sectors.

Originality/value

This paper provides a novel approach to examine the interplay between gendered inter (and intra) sectoral linkages and firm performance. It provides an original application of the two-mode brokerage analysis framework proposed in Jasny and Lubell (2015).
