Abstract

Purpose

The purpose of this paper is to draw from regulatory focus theory, to examine the effects of the “gain/no gain” nature of stock options and retirement pay on the decision to engage in cross-border acquisitions. The moderating effects of managerial discretion arising from the external industry context and internal organizational leadership structure are also examined.

Design/methodology/approach

The authors employ random effects negative binomial regression analysis with a longitudinal (2006–2016) data set of US public companies operating in four industries with differing levels of industry discretion: the oil and gas, paper and packaging, aerospace and defense, and telecommunications.

Findings

The findings indicate that both CEO in-the-money stock options and retirement pay are positively related to cross-border acquisition activity. The results also demonstrate that managerial discretion, arising from the firm’s external industry context, accentuates the positive relationship between both the value of CEO in-the-money stock options and retirement pay with cross-border acquisition activity.

Practical implications

The findings provide implication for practice as understanding how retirement pay and stock options, both of which make up a substantial portion of overall CEO pay in the USA, motivate cross-border acquisition activity, may improve decisions by executives. The evidence also provides guidance to boards of directors who are charged with the responsibility of creating CEO compensation contracts.

Originality/value

The paper fills important gaps in the existing research on the influence of compensation elements on firm outcomes, by offering a novel explanation for how in-the-money stock options and retirement pay affect CEOs’ motivations to engage in cross-border acquisitions.

Abstract

Purpose

In recent years, several high‐profile cross‐border acquisitions made by Chinese enterprises have attracted the world's attention. However, none of these acquisitions were related to Chinese construction enterprises despite their expanding role in the international construction market. The purpose of this paper is to evaluate the objectives and impediments faced by Chinese construction enterprises in cross‐border acquisitions based on existing theories and research studies.

Design/methodology/approach

Based on a literature review and the analysis of the current status of cross‐border acquisitions in China, an industry‐wide questionnaire survey was conducted to investigate the objectives and impediments of cross‐border acquisitions faced by Chinese construction enterprises.

Findings

The main objective of Chinese construction enterprises towards cross‐border acquisitions is to create new markets and to optimize the industrial structure. Although a majority of the construction enterprises demonstrated an intention for cross‐border acquisitions which is driven by their past and current overseas activities, their preparation for cross‐border acquisitions is impeded by concerns over post‐acquisition issues and a lack of knowledge and experience.

Originality/value

The paper originally contributes to a better understanding of the current status of cross‐border acquisitions by Chinese construction enterprises based on an analysis of their objectives and impediments, which will be useful for researchers and practitioners.

Abstract

Purpose

Based on a considerable degree of commonality between multinational enterprises (MNEs) and cross-border criminal organisations, the purpose of this paper is to identify ways and areas in which international business (IB) research could be of value in improving understanding of the operations of cross-border criminal organisations and in the development of effective countermeasures to global crime.

Design/methodology/approach

A review of the characteristics of legitimate MNEs and cross-border criminal organisations is undertaken to assess the applicability of IB research approaches in understanding the strategies and structures of organised criminal groups.

Findings

Despite some obvious differences there appears to be sufficient commonality between legitimate and illegitimate international commerce so that the firm-centric focus of IB research could provide valuable insights complementing the policy-oriented approach of criminology. Some adaptation of IB research tools may be required. The exchange is not one-way: studies of cross-border crime also offer lessons for IB scholars.

Research limitations/implications

IB scholarly work on cross-border crime could enrich both the fields of IB and transnational criminology. Better understanding of criminal enterprises could also facilitate the design of more effective interdiction policies.

Originality/value

Despite their commonalities and interactions, the two sectors of international enterprise have developed separately, and this paper identifies and explores possible synergies between the two.

Abstract

This study uses cross-border mergers as a test of the ability of foreign directors to provide effective strategic advising. We find that firms with foreign directors on their boards are more likely to engage in cross-border mergers, pursue a higher number of cross-border mergers, and invest more in those mergers. We further determine that firms with foreign directors are more likely to undertake nondiversifying mergers, enjoy friendly mergers, and acquire privately held targets. Moreover, we find that firms with foreign directors have higher announcement period returns and pay less for their cross-border targets.

Purpose

Using small‐scale cross‐border trade and smuggling as an example of an informal practice carried out in many post‐socialist countries, the purpose of this paper is to explore which different meanings this activity possesses for the people being involved in it and in how far small‐scale cross‐border trade is being accepted and looked at by society. The authors hope to show the different connections between informal and formal activities and specificities of localities which people in the mentioned countries deploy when trying to secure their livelihood.

Design/methodology/approach

The authors used a qualitative empirical research including group discussions with small‐scale traders and small entrepreneurs, expert interviews with representatives of the border authorities and systematic observations at border crossing points and open‐air markets at the Finnish‐Russian, Polish‐Ukrainian, Polish‐Belarusian and Ukrainina‐Romanian borders.

Findings

The paper provides empirical insights about why people carry out smuggling and small‐scale trade and how these informal activities are perceived in the local environment. It suggests that informal economic cross‐border activities are often highly legitimized despite their illegal character. The border creates certain extra opportunities as it enables arbitrage dealings. Rather as a side effect though, the Schengen visa regime has evoked a decreasing profit margin of transborder economic activities. Therefore, it remains unclear whether the Eastern external EU border will serve as an informal economic resource in the future.

Originality/value

Thanks to a multisited qualitative approach to a very sensitive research topic, the paper allows empirical insights into meanings and uses of smuggling and cross‐border small‐scale trade.

Abstract

Purpose

The purpose of this article is to address certain gaps and contribute to enriching the literature on mergers and acquisitions (M&A) in Africa; describe the phenomenon taking into account the particularity of the country; address recommendations to public policies and investors and make this article a ground-breaking article on research into the phenomenon of the M&A market in North Africa.

Design/methodology/approach

With description and an exploratory intention, the authors develop phenomenon driven research. As appropriate phenomenon driven research, the authors focus on characteristics of Moroccan M&A market. The authors use scientific investigation to provide descriptions and explanations of the phenomena in order to add a new perspective to the M&A literature in North African region. The authors work on the particularity of companies in Morocco, typology of M&A, geographic areas, socio-economic indicators, trade agreements, politics and culture.

Findings

Understand that the phenomenon of domestic M&A is a phenomenon of big cities and knows the participation of small and medium enterprises. The political variable, the trade agreements and the socio-economic weight of the countries influence the cross-border M&A in to out. Sharing a border and common culture has no impact on cross-border M&A but the history of colonization has an impact.

Research limitations/implications

The scientific contribution is first an extension of the neoclassical theory on the initiation of M&A operations. Throughout these 29 years of history, the existence of external shocks such as regulations has influenced the activity of M&A operations. Privatization, partial opening of sectors to foreign investment tax incentives have contributed to the realization of M&A operations.

Practical implications

This paper also has an economic and practical contribution, as it informs about the absence of M&A operation in the agriculture and agri-food sector in Sub-Saharan Africa. This region recognizes a food shortage that will increase by 70–100% between 2010 and 2050 with a strong population growth. The authors also note that regulations, royal directives, influence the activity and geographic choices of M&A. The political variable remains decisive for the cross-border M&A activity between Morocco and Algeria, but encourages acquisitions in countries in West and Central Africa.

Originality/value

M&A research in Africa is poor and suffers from several shortcomings; these barriers push researchers to produce fewer papers on this phenomenon. Through data collection, description and explanation, the authors tried to produce a paper focusing on the M&A phenomenon in a country in North Africa. To the authors’ knowledge, no article has dealt with this phenomenon in this country which is known for its strong M&A activity.

Abstract

Purpose

The purpose of this paper is to identify the antecedents of successful organizational cross-border knowledge transfer and also the relationship among the antecedents for sustainable competitive advantage.

Design/methodology/approach

First, a focus group study was conducted to identify major constructs and map out the proposed framework. This is then followed by questionnaire survey from 210 Malaysian multimedia super corridor (MSC) status corporations as recipients. Their international business affiliates refer to any organizations located outside Malaysia with which the recipient firm has a relationship. Data were analysed using SPSS.

Findings

The findings suggest that the perceived value of the knowledge, relational dimension and cognitive dimension, as well as recipient learning intent and the attractiveness of a foreign source are significant related to the effectiveness of organizational cross-border knowledge transfer.

Research limitations/implications

Because this research only covered 210 MSC status corporations, future research can try to have more coverage on other industry to have larger sample size for generalizability purposes. Other factors such as organizational and context characteristics can be added as antecedents to strengthen the framework for effective knowledge transfer.

Practical implications

The empirical findings can be used as a guideline for MSC status firms to undergo a self-check and help them rethink and reposition themselves in light of the findings. It helps MSC status corporations to frame their organizational cross-border knowledge transfer activities to enable the creation and application of knowledge which should allow them to drive the capability of creating and retaining a greater value onto their core business competencies.

Originality/value

This study provides valuable insights to help creating a successful foundation for organizational cross-border knowledge transfer. This study is also among few studies to examine the critical antecedents in successful organizational cross-border knowledge transfer from a multidimensional perspective in Malaysia.

Purpose

The goal to stimulate perspective taking and inference making on social phenomena, such as gender roles in society, has proven to be difficult to achieve in general and in particular for primary school students. Thus, the purpose of this paper is to develop creative models and concepts for learning that provide guidance addressing these challenges.

Design/methodology/approach

A case study methodology, including classroom observations, teacher interviews and analysis of videos created by students, was applied within a large-scale action research project related to cross-border collaboration for educational purposes supported by information and communication technologies among Danish, Norwegian and Swedish schools.

Findings

This study reports on how teachers organized group work for their sixth grades students to reimagine and videoing fairy tales endings of Cinderella in order to explore and learn about gender roles in society in a cross-border setting. The personal, emotional and social negotiations of working with peers and giving feedback to students in other schools from other countries enhanced their learning. Results suggest that adding the framework of boundary object-driven design helps to improve the process by its focus on a shared understanding, common practice and sense-making.

Originality/value

The study incorporates the framework on boundary objects as a “mental design device” into a story-driven digital production project, suggesting that creativity in combination with a specific yet open task for student group work enhances learning in social science.

Abstract

Purpose

The purpose of this paper is to explore the mechanism and boundary condition of the effect of managers' negotiable fate belief (NFB) on enterprise incremental and radical innovation based on social cognition theory and social network theory.

Design/methodology/approach

The authors used Mplus and SPSS (Statistical Product and Service Solutions) to test the proposed model with data from 278 enterprises that have established national or municipal enterprise technology centers. In this study, questionnaires were collected through commission and field investigation.

Findings

The results indicate that managers' NFB has a significant positive impact on local and cross-border knowledge search and on the incremental and radical innovation of enterprises. Knowledge search is positively correlated with enterprise innovation and can play a mediating role between the managers' NFB and enterprise innovation. Network capability can positively moderate the relationship between managers' NFB and cross-border knowledge search but has no significant impact on the relationship between managers' NFB and local knowledge search.

Originality/value

Although there have been many studies of managers' cognition, little is known about how managers' NFB influences enterprise behavior and enterprise innovation. This study incorporates managers' NFB and knowledge search into the research model and examines the moderating effect of network capability between managers' NFB and knowledge search from an interactive perspective. By verifying the research model, this study offers original views on whether and how managers' NFB and knowledge search affect enterprise innovation.

In this chapter we study the intra-group transactions between the parent bank and its foreign subsidiaries in European Union (EU) countries during the crisis. We use hand-collected data from annual statements on related party transaction and find that they may create a serious problem for the stability of the foreign banks’ subsidiaries. Moreover, as some of those subsidiary banks were large by assets in some of the member states the related party transactions with the parent bank created a serious threat to the host countries’ financial system stability. We attribute this transaction to the weak governance in foreign subsidiaries. We suggest improvements in governance as well as greater disclosure of related party transactions in bank holding companies in Europe.
