Abstract

In this paper, my claim is that employee ownership of industrial companies enables economic survival, democracy, and joint responsibility. My main focus is a case study of Ljuders Nickelsilfverfabrik and its change to employee ownership. In 1980, 36 of the 42 employees became owners. My research question is how have the economy and democracy in an employee-owned industrial company changed over the years? My main research method includes a 35-year in-depth longitudinal case study of Ljuders Nickelsilfverfabrik since its employee takeover. The empirical material includes documents, interviews, participant observations, and informal talks over the entire study period. My theory is based on the study by Connell Fanning and McCarthy (1983, 1986), who have compiled the critical literature on employee-owned companies and have asked why so few employee-owned companies exist in Western economies. They formulate six non-viability hypotheses for employee ownership, against which I present my empirical study and conclude that employee ownership is possible. From my case study in combination with the literature about organizational changes, I formulate a recipe for a successful employee takeover and collective entrepreneurship. The experience of Ljuders Nickelsilfverfabrik shows that a more complete business idea can subsequently unfold with the help of different people’s knowledge and experiences. Degeneration from democratic to more traditional ownership and control can be avoided by placing new people in leadership positions. The management must create legitimacy for a different organizational form for internal and external stakeholders.

Abstract

Purpose

The aim of this paper is to develop a better understanding of the pressures that can cause mission drift among social enterprises and some of the steps that social enterprises can take to combat these pressures.

Design/methodology/approach

The paper is conceptual in nature. It draws on resource dependency theory, institutional theory and various extant empirical studies to develop an understanding of the causes of mission drift. This analysis is then used to examine the practical steps that social enterprises can take to combat mission drift.

Findings

The paper highlights how high dependence on a resource provider and the demands of “competing” institutional environments can lead to mission drift. Based on this analysis, the paper sets out various governance mechanisms and management strategies that can be used to combat mission drift.

Practical implications

The paper sets out practical steps social enterprises can take to try to prevent mission drift. While governance mechanisms provide important safeguards, there is still a danger of mission drift unless active steps are taken to manage the tensions that arise from trying to achieve both commercial and social goals. These strategies can be divided into two broad types. Those that seek to compartmentalise the different activities into separate parts of the organization and those that seek to integrate them. Integrative strategies include careful selection and socialization, compromise and “selective coupling”.

Originality/value

The paper will be of value to other researchers attempting to understand the dynamics of social enterprises and, in particular, the processes that can lead to mission drift and to managers of social enterprises keen to combat these processes.

Abstract

This study compares dispute resolution strategies of workers in hierarchical, conventional businesses with those of members of worker cooperatives – organizations in which all workers co-own and co-manage the business. Drawing on data from three industries (coal mining, taxicab driving, and food distribution), this study finds some support for predictions in the literature that assert that the cooperative's flattened structure and egalitarian ideology will affect workers’ grievance resolution. Although the data do not indicate a single pattern in dispute resolution strategies (i.e., with all members of the cooperatives resolving their disputes one way and all non-cooperative employees using a different strategy), the data do demonstrate that, when comparing matched cooperative and conventional businesses within each industry, the worker cooperative members possess more dispute resolution strategies than their conventionally employed counterparts.

Abstract

Purpose

The purpose of this paper is to address the governance of “fair trade social enterprises” (FTSEs), i.e. the organisations exclusively dedicated to the import, distribution and/or labelling of fairly traded products. The aims are to describe and categorise the types of persons and stakeholder groups represented in FTSEs' governance structures and to look at the link between stakeholder involvement and other organisational features such as resources, goals and activities.

Design/methodology/approach

These questions are investigated through a qualitative field study based on face‐to‐face interviews with the managers of 15 Belgian FTSEs.

Findings

The paper distinguishes three governance models each entailing different governance paradigms: the managerial model, the volunteer‐based and the multi‐stakeholder models. In the three governance models, it is possible to link, to a certain extent, the composition of the governance structures, the access to resources and the goal priorities regarding the different dimensions of the FT activity. In brief, governance appears as an organisational entry revealing much information about the vision and the strategy of the FTSEs.

Research limitations/implications

This paper is limited to Belgian FTSEs and must be considered as one of the first attempts in characterising the specific features and challenges of organisational governance in the FT context. International comparative studies exploring FTSE's governance in a more longitudinal perspective, combining the standpoints of diverse organisational actors, would be most welcome in the future.

Originality/value

As this paper shows, the multidimensional nature of FT and the coexistence of different types of FTSEs in the same country make this a very interesting field to investigate the challenges of governance in social enterprises. Social enterprises and those researching them should pay more attention to the importance of adopting and conceiving governance schemes that are adapted to their multiple missions and enable the access to multiple resources.

Abstract

Purpose

Prevailing concepts of corporate governance that are based on external shareholder interests have been challenged by a number of authors over the last three decades. The purpose of this paper is to outline the core assumptions of communitarian philosophy and values, together with the way writers imagine these might be enacted in a social enterprise context. These assumptions are then explored using two case studies.

Design/methodology/approach

The paper was conducted using participatory action research which involves parties examining current actions together and seeking to improve on them. The value of this approach is based on the plausible, authentic and critical insights it generates into management practice.

Findings

Case evidence suggests that companies are able to adopt and operate effectively while deploying communitarian values and that these values lead to alternative business objectives expressed through new forms of corporate governance. Nevertheless, the adopting of common language does not necessarily mean that social enterprises share a common philosophy.

Originality/value

The key contribution of this paper is to evaluate the institutionalisation of governance and consider the relationship between the form and substance of practice. By considering the link between words and actions, the paper concludes that the adoption of a governance framework, or particular language, matters less than the capacity of company members to participate in the development of governance norms that enable them to act congruently with their own beliefs and values.

Abstract

Purpose

The purpose of this paper is to illustrate the importance of taking into account contextual factors when building governing mechanisms, so that the subsequent processes and structures are appropriate and sustainable.

Design/methodology/approach

The paper utilises the singular case study illustration of Māori Maps, an indigenous social and entrepreneurial venture to illustrate the notion of contextualised governance. Considering this focus centres on notions of context, the case study method is most appropriate as it allows for a fuller explanation of the specific contextual factors relating to the study.

Findings

In taking into account the unique contextual factors relating to Māori Maps, the paper shows that they have incorporated culturally appropriate models and processes of governance.

Research limitations/implications

This context‐specific case study illustration supports new governance research avenues that assert that context matters, and contributes to the body of evidence that suggests that traditional frameworks of governance cannot be applied to all organisations, with no regard being taken for varying contextual factors.

Practical implications

This case study illustration may encourage other groups in similar scenarios (but with varying contextual surroundings) to develop their own innovative models of governance which suit their surroundings.

Originality/value

The authors have utilised the Māori Maps case study previously in the context of innovation and entrepreneurship studies. The insights drawn from studying the intersection between governance theory and social entrepreneurship in this context are new.
