Andrew Chambers (Audit Committee of The Medical Defence Union – a large UK mutual. He chaired the audit committee of The Paragon Group of Companies (FTSE250) for seven years until 2003. He has been a non‐executive director of an NHS acute hospital trust and he is a Council member of The Tavistock Institute of Human Relations, a charity. He is a member of ICAEW's Corporate Governance Committee. Andrew was Dean of what is now The Cass Business School, London and is an emeritus professor of City University, London. Now he is director of Management Audit Ltd who specialise in advising boards and audit committees on corporate governance matters. He holds the part‐time position of Deloitte Professor of Internal Auditing at London South Bank University and this paper was based on his inaugural lecture presented at London South Bank University on 30 November 2003.)

Abstract

Purpose

Aims to consider whether non‐executive directors add value.

Design/methodology/approach

A discussion based on current and recent trends in thinking about the role of non‐executive directors.

Findings

Considering the effect of the non‐executive director is not quite the same as addressing “the effective non‐executive director”. Do non‐executive directors have any effect and, if so, what are the effects and to what extent? Of course, positive answers to these questions would suggest tests to apply in determining whether someone has what it takes to make an effective contribution as a non‐executive director. This would also assist in determining the scope of the evaluation of the performance of each non‐executive director – which is now very much part of the 2003 Combined Code on Corporate Governance.

Originality/value

This paper offers useful insights into the roles of non‐executive directors.
